愛康科技(002610.SZ):購買愛康房地產股權具備合理性和必須性

格隆匯11月5日丨愛康科技(002610.SZ)回覆深交所問詢函稱,愛康房地產是愛康大廈的持有主體,未介入其他房地產開發項目。次交易公司的主要目的是購買愛康大廈資產。公司購買上述資產的主要原因如下:

1、公司日常經營辦公需要

目前,公司借用愛康大廈B1601用於日常辦公用。同時,隨公司浙江長興、贛州等太陽能電池及組件工廠的投資建設,公司太陽能電池及組件業務取得較大發展,公司決定在當前組件、支架單獨公司管理的基礎上,整合公司市場、銷售資源,設立系統集成板塊營銷中心,分設市場部、支架銷售部、電池及組件四大區域銷售部(國內、亞太、美洲、歐洲),相應人員編制及規模由當前的49人增加至150人。系統集成營銷中心的設立,公司將新增對統一集中辦公室需求。

2、減少愛康房地產為公司擔保事項

愛康房地產以愛康大廈B201、B401、M401為公司子公司蘇州愛康金屬科技有限公司承擔4000萬銀行借款擔保,以愛康大廈B501、B1901為公司併購蘇州愛康能源工程股份有限公司併購基金承擔擔保。此次交易完成後,可以減少關聯方為公司擔保事項。

3、愛康大廈資產具有一定收益性

愛康大廈地處張家港市南區的動漫產業園,港城大道與南二環路交界處,是新興的集商業辦公為一體的綜合項目。北鄰暨陽湖景觀地帶、東、南臨動漫產業園其他辦公樓、西鄰金桂路。愛康房地產將愛康大廈作為投資性房地產持有,未來:

(1)隨滬通大橋和高鐵的引入及建設完工,帶給張家港市持續的發展動力。愛康大廈地處張家港暨陽湖核心生態經濟圈,周邊房地產市場價格穩定並有所上漲。公司持有愛康大廈資產能夠保值並獲取一定增值收益。

(2)本年度愛康房地產以優化資產管理為核心,先後引入美旭、國貿酒店等大型合作伙伴,租賃情況較為良好,目前僅剩下B1701、部分公寓及商業裙樓未完成租賃。隨着愛康大廈招商工作的持續推進,周邊商圈逐步成熟,帶動房屋租金的提高,愛康房地產預期愛康大廈租賃業務能夠覆蓋建設成本,並獲取一定租金收益。

綜上,公司認為持有愛康大廈未來能夠獲取張家港經濟持續發展帶來的地產保值並增資的紅利,也能夠獲取一定的投資性房地產租金收益。

4、通過購買愛康房地產股權相比直接購買愛康大廈資產,可以減少交易税費

愛康房地產為建設愛康大廈而成立,除此之外未承接其他房地產開發項目。因此,此次交易如直接購買愛康大廈資產,交易雙方將產生較大交易契税、土地增值税等。而通過直接購買愛康房地產股權的交易模式,可以有效的節減上述交易税費。

綜上,基於公司日常辦公所需、減少關聯公司對公司擔保、減少交易税費及持有愛康大廈未來能夠獲取一定的收益等,公司此次購買愛康房地產股權具備合理性和必須性。
