永藝股份(603600.SH)收到浙江證監局警示函
格隆匯11月5日丨永藝股份(603600.SH)公佈，公司於近日收到中國證券監督管理委員會浙江監管局行政監管措施決定書《關於對永藝傢俱股份有限公司、張加勇、呂成、顧欽杭採取出具警示函措施的決定》。現將內容公告如下：
“永藝傢俱股份有限公司、張加勇、呂成、顧欽杭：
經查，2019年5月21日，永藝傢俱股份有限公司(以下簡稱永藝股份或公司)收到單筆與收益相關的政府補助1349.41萬元，佔2018年歸屬於上市公司股東淨利潤的比例為12.97%，達到臨時公告的披露標準，但直至2019年7月10日，公司才披露相關公告。
上述行為違反了《上市公司信息披露管理辦法》第二條、第三十條的規定，時任公司董事長兼總經理張加勇、財務總監呂成和董事會祕書顧欽杭對上述違規事項應承擔主要責任。按照《上市公司信息披露管理辦法》第五十八條、第五十九條的規定，我局決定對你公司及張加勇、呂成、顧欽杭分別予以警示並記入證券期貨市場誠信檔案。你公司應充分吸取教訓，加強相關法律法規學習，提高規範運作意識，認真履行信息披露義務；董事、監事、高級管理人員應當履行勤勉盡責義務，促使公司規範運作，並保證信息披露的真實、準確、完整、及時、公平。你公司應當在2019年11月15日前向我局提交書面整改報告，杜絕今後再次發生此類違規行為。
如果對本監督管理措施不服的，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述行政監管措施不停止執行。”
公司及相關人員高度重視上述《警示函》中提出的問題，將按照要求採取有效措施進行整改。公司董事、監事及高級管理人員將以本次整改為契機，進一步加強對證券法律法規的學習，強化規範運作意識，加強內部管理，切實提高公司規範運作水平。
