電子城(600658.SH)入夥國壽置業旗下基金 基金擬收購公司40.39億元資產包
格隆匯11月5日丨電子城(600658.SH)公佈，公司擬以自有資金與電子城華平東久、中國人壽保險股份有限公司通過入夥方式加入國壽置業設立的有限合夥企業，有限合夥企業原有限合夥人全部退夥(“基金入夥事項”)，因電子城華平東久為公司關聯方，此次基金入夥事項構成關聯交易。
在入夥基金後，基金將通過對外投資設立項目公司的方式收購電子城集團下屬公司的資產(“資產收購事項”)，因電子城集團擬持有基金29.99%的財產份額，且電子城關聯方電子城華平東久擔任基金的普通合夥人，電子城集團為該基金的合營方，此次資產收購事項構成關聯交易。
基金擬募集總規模不超過43.02億元，國壽置業為基金的普通合夥人，認繳100萬元，佔比0.02%；電子城華平東久為基金的普通合夥人及執行事務合夥人，認繳100萬元，佔比0.02%；中國人壽保險股份有限公司為基金的有限合夥人，認繳30.1億元，佔比69.97%；電子城集團為基金的有限合夥人，認繳12.9億元，佔比29.99%。
在入夥基金後，基金構成電子城集團的關聯方。基金擬直接或通過由其與國壽置業設立的有限合夥企業(“SPV”)，與國壽置業設立一家或數家平台公司(“項目公司”)；基金將直接或間接持有項目公司99.9%股權。基金擬以SPV和/或項目公司為收購主體，收購電子城集團下屬子公司北京電子城有限責任公司(“北京電子城”)持有的北京電子城IT產業園B5廠房項目、中關村電子城國際電子總部三期項目及電子城IT產業園C2A廠房項目；收購電子城(天津)科技服務平台開發有限公司(“電子城科服”)持有的電子城西青7號地西區項目(鼎峯中心)4#項目、電子城西青7號地西區項目(鼎峯中心)5#項目；收購電子城(天津)科技創新產業開發有限公司(“電子城科創”)持有的電子城西青7號地東區項目(鼎創中心)1#項目(上述被收購資產以下單稱或合稱“標的資產”)，收購總價款約為40.39億元人民幣(最終收購價款根據上述項目《不動產權證》記載的實測建築面積進行調整)。
前述項目公司收購電子城集團下屬公司的資產完成後，公司或公司控股子公司發生的與該基金及其項目公司所持標的資產相關運營方面的交易事項將構成公司的關聯交易。公司董事會授權經營管理層就上述可能發生的後續運營事項進行商務談判、簽署相關協議、辦理相關事宜，授權範圍不超過人民幣9億元整。
電子城集團通過基金快速實現投資項目的資金回籠，能夠有效提高資金週轉率及資產週轉率，同時降低財務費用，滿足未來各業務發展對資金的需求，增強防範流動性風險的能力。
