中科信息(300678.SZ)擬向成都中科增資5400萬元 推進“數字會議系列產品升級及產業化”項目順利開展
格隆匯11月5日丨中科信息(300678.SZ)公佈，公司於2019年11月5日召開第三屆董事會第四次會議、第三屆監事會第三次會議，審議通過了《關於向全資子公司增資的議案》。結合公司戰略規劃與業務發展的實際需要，為切實增強公司全資子公司成都中科信息技術有限公司(“成都中科”)在黨政信息化領域的經營能力，提升其資質水平和整體競爭力，公司擬對全資子公司成都中科增加註冊資本金共計人民幣5400萬元，增資資金來源為使用募集資金2888萬元、公司自有資金2512萬元，全部計入成都中科註冊資本。
公司擬對全資子公司成都中科增加註冊資本金共計人民幣5400萬元，增資資金來源為使用募集資金2888萬元、公司自有資金2512萬元，全部計入成都中科註冊資本。此次增資完成後，成都中科的註冊資本將由人民幣600萬元增至人民幣6000萬元。公司仍持有成都中科100%股權。上述募集資金將全部用於以成都中科為實施主體的募集資金投資項目“數字會議系列產品升級及產業化”項目。
成都中科信息技術有限公司經營範圍 ：信息系統集成服務、信息技術諮詢服務、數據處理和存儲服務；軟件開發；電子產品研發、生產(生產行業另設分支機構或另擇經營產場經營)；銷售計算機及通訊設備(不含無線廣播電視發射及衞星地面接收設備)、電子設備及元器件、計算機軟硬件；計算機系統集成；涉密信息系統集成(憑資質許可證在有效期內經營)；建築智能化工程、安防工程、防雷工程、電子設備安裝工程、通信線路和設備安裝工程、電子與智能化工程設計、施工(工程類憑資質許可證經營)。(依法須經批准的項目、經相關部門批准後方可開展經營活動)。
此次增資目的在於加快促進成都中科在黨政信息化領域擴大業務規模，推進“數字會議系列產品升級及產業化”項目的順利開展，提升該公司的資質水平和整體市場競爭力。此次擬實施的增資未改變募集資金的投資方向和項目建設內容，不會對公司財務及經營狀況產生不利影響，不存在損害公司及全體股東利益的情況。此次增資符合中科信息長期發展戰略，對公司本年度的經營成果無重大影響。
