榮豐控股(000668.SZ)子公司簽訂建設工程委託管理合同
格隆匯11月5日丨榮豐控股(000668.SZ)公佈，安徽馬鞍山農村商業銀行股份有限公司(“馬鞍山農商行”)擬與北京榮豐房地產開發有限公司(“北京榮豐”)簽訂《建設工程委託管理合同》，委託北京榮豐對馬鞍山農商行綜合辦公樓項目實施管理。
公司代理財務總監吳慶為馬鞍山農商行董事，根據《深圳證券交易所股票上市規則》的規定，此次交易構成關聯交易,需經公司董事會審議。
安徽馬鞍山農村商業銀行股份有限公司主營業務：吸收公眾存款；發放短期、中期和長期貸款；辦理國內結算；辦理票據承兑與貼現；代理髮行、代理兑付、承銷政府債券；買賣政府債券、金融債券；從事同業拆借；從事銀行卡借記卡業務；代理收付款項及代理保險業務；提供保管箱服務；經中國銀行業監督管理委員會批准的其他業務。(依法需經批准的項目經相關部門批准後方可經營)
此次項目名稱：馬鞍山農村商業銀行綜合辦公樓項目；項目概算：約7.14億人民幣；建設地點：太白大道與東湖路口西南角；建設規模：暫定總建築面積99060.06平方米(地上75518.35平方米，地下23541.71平方米)。
此次委託管理範圍：乙方根據甲方提出的投資控制、規模、標準、功能、質量、進度、安全等要求，自項目實施準備階段起至整體項目竣工驗收交付使用之日止，配合甲方管理整個工程建設工作，即項目實施準備階段、項目實施階段、項目竣工驗收的建設管理工作以及甲方要求承辦的其他相關工作。
委託服務費金額：990萬元。委託服務費的20%(198萬元)作為委託服務的啟動金，其餘委託服務費按月支付。服務期限：自項目實施準備階段起計，至項目竣工驗收之日止，即2019年7月1日至2020年12月31日。
此次交易可以充分利用公司現有的人力、技術資源，發揮協同效應，有利於提高公司的盈利能力，定價公允，符合公司及全體股東的利益。
