高能環境(603588.SH)擬收購陽新鵬富40%股權及靖遠宏達49.02%股權 明起復牌
格隆匯11月4日丨高能環境(603588.SH)公佈，公司現持有陽新鵬富60%的股權，持有靖遠宏達50.98%的股權，此次交易公司擬以發行股份及支付現金的方式收購由柯朋持有的陽新鵬富40%的股權、由宋建強和譚承鋒持有的靖遠宏達49.02%的股權。此次交易完成後，陽新鵬富和靖遠宏達將成為公司的全資子公司。
鑑於此次交易標的資產的評估值和擬定價尚未確定，此次交易中對交易對方的股份和現金支付比例及數量尚未確定，交易雙方將在對交易標的的審計、評估工作完成之後協商確定，並將在重組報告書(草案)中予以披露。
公司擬採用詢價方式向不超過10名特定投資者非公開發行股份募集配套資金。募集配套資金總額不超過此次交易中擬以發行股份方式購買資產的交易價格的100%，且發行股份數量不超過發行前公司股本總額的20%。配套資金主要用於支付交易對方現金對價，補充上市公司流動資金，支付中介機構費用和其他相關費用等。
此次交易前，公司主要從事環境修復和固體廢物處理處置兩大業務領域。自2015年上市公司開始佈局危廢處理處置領域，已運營項目形成超過50萬噸/年的核準經營規模，現有運營的危廢處理處置項目8個，四川省涼山州甘洛危廢項目等新建項目也逐步進入建設階段，2018年危廢處理處置業務實現收入11.62億元，危廢處理處置板塊經營情況良好。此次交易擬收購對象陽新鵬富和靖遠宏達在危廢處置領域深耕多年，積累了危廢處置領域的豐富技術、工藝和經驗，合計擁有27.415萬噸/年的危廢處理核准經營規模，處理處置種類包含《國家危險廢物名錄》46大類中的5類。
公司通過此次交易收購陽新鵬富和靖遠宏達股權，將進一步夯實環保主業，提升可持續發展能力、抗風險能力以及後續發展潛力，為整體經營業績提升提供保證，符合上市公司全體股東的利益。
經公司向上海證券交易所申請，公司股票將於2019年11月5日上午開市起復牌。
