海航基礎(600515.SH)擬斥5000萬元參設合資公司 負責一站式飛機維修服務基地項目開發建設工作
格隆匯11月4日丨海航基礎(600515.SH)公佈，為貫徹落實《中共中央國務院關於支持海南全面深化改革開放的指導意見》(中發[2018]12號)，構建海口臨空產業園“一站式”飛機維修服務基地，發揮航空企業集聚效應，帶動產業轉型升級，擬組建一站式飛機維修服務基地項目合資公司。公司(“丙方”)與海南新創工業信息產業投資基金合夥企業(有限合夥)(“新創基金”或“甲方”)、海口市城建集團有限公司(“海口城建”或“乙方”)於近日簽訂了《海口空港飛機維修工程有限公司合資協議》，並在海南省海口市共同設立海口空港飛機維修工程有限公司(“合資公司”)，其中新創基金出資人民幣2.55億元，持有合資公司51%股權，海口城建出資人民幣1.95億元，持有合資公司39%股權，海航基礎出資人民幣0.5億元，持有合資公司10%股權。根據《海口空港飛機維修工程有限公司合資協議》，各方一致同意，在合資公司設立滿5年後，海航基礎可以選擇分期或一次性購買新創基金及海口城建所持有的合資公司全部股權。具體購買時間、方式及價格等事項，由各方另行協商。
合資公司全面負責一站式飛機維修服務基地項目開發建設工作，包括附件維修項目、航材庫項目、工程技術與研發中心、定檢機庫項目、噴漆機庫項目及園區各項生產配套設施。
海口空港飛機維修工程有限公司註冊資本：5億元人民幣；經營範圍：工業廠房、倉庫及配套設施、設備的建設、租賃、銷售與管理，航空器材及民用航空有關設備、特種車輛的銷售、租賃。(一般經營項目自主經營，許可經營項目憑相關許可證或者批准文件經營)(依法須經批准的項目,經相關部門批准後方可開展經營活動。)
一站式飛機維修服務基地項目，是海南省海口市江東新區臨空產業園區的核心引擎項目。此次投資設立合資公司以自有資金投入，符合公司戰略轉型規劃，有利於挖掘公司新的利潤增長點，促進業務發展，符合公司未來的發展戰略和全體股東的利益。
