曲江文旅(600706.SH)旗下海洋公園接受兒藝公司提供《哪吒》演出服務期限延至2024年年底
格隆匯11月4日丨曲江文旅(600706.SH)公佈，為進一步滿足遊客多元化的旅遊體驗，豐富海洋極地公園的演出產品，公司下屬海洋極地公園分公司(以下簡稱：海洋公園)於2018年12月與西安兒童藝術劇院有限責任公司(以下簡稱：兒藝公司)簽訂了《大型兒童舞台秀〈哪吒〉演出合作協議》，由兒藝公司為海洋公園提供大型兒童舞台秀《哪吒》演出服務，協議期限為2019年1月1日至2019年12月31日，總金額為240萬元。
現由於《哪吒》自上演以來較高的演出質量及較強的觀眾口碑，經雙方友好協商，本着公平、公正的原則根據《合同法》及原協議相關規定，簽訂《大型兒童舞台秀〈哪吒〉演出補充協議》，補充協議將原協議期限調整為2019年1月1日至2024年12月31日。
演出方面：(1)原協議合同期限由2019年1月1日至2019年12月31日調整為2019年1月1日至2024年12月31日；
(2)2019年1月1日至2019年12月31日演出結合景區運營實際雙方協商確定場次，原則上演出場次不低於246場，每場演出費用以2萬元為基礎進行結算；
(3)2020年至2024年演出結合景區運營實際雙方協商確定場次，原則上場次每年不低於246場，具體合作細節參照原協議及補充協議以上合作條款，每年度末雙方共同協商次年具體演出合作細節；
(4)付款方式與原協議保持一致。
兒藝公司為西安演藝集團有限公司全資子公司，西安曲江文化控股有限公司(公司控股股東母公司的第一大股東)持有西安演藝集團有限公司91.812%的股權，因此兒藝公司為公司關聯方。
海洋公園接受兒藝公司提供的《哪吒》演出服務，能進一步滿足遊客多元化的旅遊體驗，豐富海洋極地公園的演出產品，交易行為在公平原則下合理進行，符合公司主營業務發展方向，不存在損害公司及中小股東利益的情況，不影響公司獨立性。
