神州高鐵(000008.SZ)：天津地鐵7號線一期工程PPP項目的合同簽署完成
格隆匯11月3日丨神州高鐵(000008.SZ)公佈，公司於2019年4月26日召開第十三屆董事會第六次會議，審議通過了《關於擬組成聯合體參與天津地鐵7號線一期工程PPP項目投標的議案》。公司及全資子公司神州高鐵軌道交通運營管理有限公司(“神鐵運營”)與中國建築股份有限公司(“中國建築”)及其關聯方組成的聯合體成功中標，項目公司中建(天津)軌道交通投資發展有限公司(“項目公司”)註冊完成，其中公司及神鐵運營出資1.57億元，佔項目公司股權的2%；政府方、中國建築及其關聯方各佔項目公司股權的49%。
天津地鐵7號線一期工程PPP項目是天津城市軌道交通的新建PPP項目，也是《天津市城市軌道交通第二期建設規劃》(2015-2020)中實質整線推動的新線路，項目採用建設-運營-移交(BOT)模式運作。本項目已於2019年7月正式開工建設，預計2023年底開通運營。
天津地鐵7號線全長42.53公里，從北辰區高鐵北部新城站至西青區賽達八支路站。一期工程全長26.53km，設車站21座，概算批覆投資268.97億元，劃入PPP項目範圍的為196.81億元,其中工程費約146.51億元。
公司參與的聯合體中標價格(初始車公里服務費)為109.58元/車公里，概算工程費用下浮率為4.50%。PPP項目合作期26年，其中建設期4.5年，運營期21.5年。
根據聯合體協議約定，公司及子公司將承擔該項目的部分設備供應、運營籌備、整體運營維保和投融資等職責。
近日，公司收到項目公司通知，獲悉項目公司與天津市住房和城鄉建設委員會、天津市交通運輸委員會正式簽署了《天津地鐵7號線一期工程PPP項目合同》。
7號線項目PPP合同簽署完成後，隨着建設工作的逐步推進，運維設備採購工作將陸續啟動，公司在建設期將獲取設備銷售業績，並形成相關收入利潤。進入運營期後，公司將根據相關約定，提供全面的整線運營維保服務，形成長期穩定的現金流收入和利潤。參與本項目使公司成為軌道交通運營企業，為公司運營服務商戰略打下基礎。此外，通過“運營+N”的盈利增值策略，公司有望在傳統運營管理和維保服務之外實現超額利潤，推動軌道交通整線智能運維產業模式升級。
天津是公司城市軌道交通整線運營維保業務的戰略要地，成功參與7號線項目為公司在天津進一步開拓市場奠定了堅實的基礎。按照規劃，天津市其他新建線路及部分既有線路也將陸續進行BOT和TOT模式的招投標工作。公司將充分發揮7號線項目的示範作用，憑藉公司獨有的軌道交通全產業鏈運維裝備系統和全面的整線智能運維服務能力，力爭在其他線路的競爭中佔得先機。
此外，7號線項目籌備和實施過程中，公司與中國建築建立了良好的合作關係和信任基礎，為雙方今後進一步合作開拓軌道交通整線運營維保市場創造了條件。
