恆久科技(002808.SZ)擬收購信息安全領域軟件開發及系統集成公司閩保股份71.26%的股權
格隆匯11月1日丨恆久科技(002808.SZ)公佈，公司已於2019年11月1日與福建省閩保信息技術股份有限公司(“標的公司”、“閩保股份”)實際控制人林章威簽署了《股權收購協議》，公司以支付現金的方式購買林章威所持有的標的公司2289.7萬股股份，對應的股權比例為71.26%。基於評估值，經雙方協商確定標的股權的交易價格約1.40億元。
標的公司成立於2006年6月，是一家信息安全領域軟件開發及系統集成的高新技術企業，專注於信息安全及保密技術與產品的研發、生產及銷售，擁有擁有涉密信息系統集成乙級、信息安全服務資質(信息系統安全集成三級)、武器裝備質量體系認證等多項信息安全及保密業務相關資質及證書。標的公司的主要產品包括MB涉密計算機及移動存儲介質保密管理系統、MB移動數據安全防護系統、MB數據安全封存審計系統、MB網絡存儲安全增強系統、MB內網安全管理系統(主機監控與審計系統)、MB互聯網出口檢測系統等。
標的公司2019年實際淨利潤不低於人民幣1500萬元(淨利潤為標的公司經審計的財務報告中的合併利潤表中的“歸屬於母公司所有者的淨利潤”，下同)；2019年至2020年累計實際淨利潤不低於人民幣3700萬元；2019年至2021年累計實際淨利潤不低於人民幣6560萬元；2019年至2022年累計實際淨利潤不低於人民幣10278萬元；2019年至2023年累計實際淨利潤不低於人民幣14728萬元；2019年至2024年累計實際淨利潤不低於人民幣19808萬元。
公司的主營業務為激光打印機、數碼複印機的核心部件——激光有機光導鼓系列產品研發、生產與銷售。打印機、複印機作為計算機系統重要的信息輸出設備，在科研、教育、生活甚至關係國計民生的各個領域、各個行業中的作用愈來愈重要。本次交易完成後，公司將依託閩保股份多年來在信息安全和系統集成領域的技術成果以及較強的軟件開發能力，進一步加強公司產品的保密性和安全性，提高產品品質，延伸產品使用領域，增強公司在打印機、複印機和數碼快印以及雲共享等影像產業領域的綜合競爭力。
公司擬通過本次交易，積極推進公司的外延式發展，不斷拓寬公司的成長空間，提高公司的抗風險能力，提升公司的盈利能力。本次交易完成後，公司能夠控制標的公司，標的公司納入公司合併報表範圍。
