格力電器(000651.SZ)及珠海融林合計持聞泰科技約1.28億股
格隆匯11月1日丨格力電器(000651.SZ)公佈，為滿足公司戰略發展需要，2018年11月30日，公司與聞泰科技(600745.SH)、合肥中聞金泰有限責任公司(“合肥中聞金泰”)、珠海融林股權投資合夥企業(有限合夥)(“珠海融林”)簽署了相關投資協議，出資30億元參與聞泰科技收購Nexperia Holding B.V. (“安世集團”)項目，其中向合肥中聞金泰出資8.85億元用於合肥中聞金泰受讓合肥芯屏產業投資基金(有限合夥)所持有的合肥廣芯半導體產業中心(有限合夥)的LP財產份額，向珠海融林出資21.15億元用於珠海融林受讓珠海融悦股權投資合夥企業(有限合夥)所持有的合肥廣訊半導體產業投資中心(有限合夥)(“合肥廣訊”)所持有的LP財產份額。
之後，聞泰科技將通過發行股份換股的方式置換公司持有合肥中聞金泰的權益、通過珠海融林間接持有的合肥廣訊權益，項目完成後聞泰科技將實現對安世集團的控制，格力電器將成為聞泰科技的重要股東。
日前，公司持有的合肥中聞金泰8.85億元註冊資本(佔合肥中聞金泰6.88%的股權)以及公司通過珠海融林間接持有的合肥廣訊LP份額已過户登記至聞泰科技名下。
近日，公司收到聞泰科技發來的《通知函》和由中國證券登記結算有限責任公司上海分公司於2019年10月31日出具的《證券變更登記證明》，聞泰科技此次發行股份購買資產的新增股份相關證券登記手續已於2019年10月30日辦理完畢，格力電器、珠海融林成為聞泰科技的股東，持有聞泰科技的股份數分別約為3585.8995萬股、9242.004萬股(聞泰科技的新增股份發行價格為24.68元/股)，佔聞泰科技募集配套資金實施前總股本的股權比例分別為3.45%、8.88%。
上述股份將在上海證券交易所上市交易，格力電器、珠海融林持有的股份性質為有限售條件流通股，限售期為自新增股份登記之日起36個月。
