達志科技(300530.SZ)：控股股東變更為衡帕動力 實控人變更為王蕾
格隆匯11月1日丨達志科技(300530.SZ)公佈，公司於2019年9月16日收到控股股東、實際控制人蔡志華及股東劉紅霞的通知，蔡志華及劉紅霞(“轉讓方”)與湖南衡帕動力合夥企業(有限合夥)(“衡帕動力”或“受讓方”)於2019年9月16日簽署了《股份轉讓協議》及《表決權放棄協議》，公司控股股東、實際控制人蔡志華及股東劉紅霞擬通過協議轉讓方式將公司1761.57萬股股份(約佔公司總股本的16.68%)轉讓給受讓方衡帕動力，其中，蔡志華擬轉讓1585.4130萬股公司股份(約佔公司總股本的15.01%)，劉紅霞擬轉讓176.1570萬股公司股份(約佔公司總股本的1.67%)。
同時，蔡志華、劉紅霞及受讓方同意，自受讓方受讓蔡志華、劉紅霞持有的公司1761.57萬股股份完成過户登記之日起，蔡志華無條件且不可撤銷地永久放棄行使公司3823.0458萬股股份對應的表決權(佔公司股份總數的36.20%)、劉紅霞無條件且不可撤銷地永久放棄行使公司528.4710萬股股份對應的表決權(約佔公司股份總數的5.00%)。
2019年11月1日，公司接到上述轉讓方的通知，其已收到中國證券登記結算有限責任公司深圳分公司出具的《證券過户登記確認書》，上述轉讓方協議轉讓給衡帕動力的1761.57萬股股份已完成過户登記手續，過户日期為2019年10月31日。
此次交易所涉標的股份過户後，衡帕動力直接持有公司股份1761.57萬股，佔公司總股本的16.68%；在公司擁有表決權的股份數量合計為1761.57萬股，佔公司總股本的16.68%。蔡志華直接持有公司股份4756.2390萬股，佔公司總股本的45.04%；在公司擁有表決權的股份數量為933.1932萬股，佔公司總股本的8.84%。劉紅霞直接持有公司股份528.4710萬股，佔公司總股本的5.00%；在公司擁有表決權的股份數量合計為0股，佔公司總股本的0.00%。公司控股股東由蔡志華變更為衡帕動力，公司實際控制人由蔡志華變更為王蕾。
