首創置業(02868.HK)：更新中期票據及永續證券計劃 本金額上限已提升10億至30億美元
格隆匯10月31日丨首創置業(02868.HK)宣佈，發行人(International Financial Center Property Ltd，由公司全資擁有)於2019年10月31日更新有擔保中期票據及永續證券計劃，而IFC或公司(視情況而定)就根據該計劃將予發行的證券提供相關擔保。
進一步宣佈，發行人、IFC、公司、首創集團及受託人於2019年10月31日就高級票據訂立信託契約，據此，高級票據可由發行人發行，及(i)由公司無條件及不可撤回地擔保或(ii)由IFC無條件及不可撤回地擔保，並享有由首創集團或公司提供維好及流動性支持契約及股權購買承諾契約的利益。此外，發行人、IFC、公司、首創集團及受託人於2019年10月31日就永續證券訂立信託契約，據此，永續證券可由發行人發行，及由IFC無條件及不可撤回地擔保，並享有由首創集團或公司提供維好及流動性支持契約及股權購買承諾契約的利益。
根據就IFC所擔保證券利益而訂立的相關維好及流動性支持契約，公司或首創集團(視情況而定)已承諾(其中包括)促使發行人及IFC有足夠流動資金，確保發行人及IFC適時支付有關證券(如有任何相關證券尚未行使)的任何應付款項。根據就IFC所擔保證券利益而訂立的相關股權購買承諾契約，公司或首創集團(視情況而定)已承諾(其中包括)在收到受託人的書面購股通知後，購入若干股權。有關股權包括相關股權購買承諾契約所指定的相關轉讓人在公司或首創集團(視情況而定)的若干直接或間接附屬公司的註冊資本中所持有的股權。
根據該計劃，發行人可於獲豁免遵守美國證券法登記規定的交易中，分批向專業及機構投資者發售及發行證券，本金額上限已提升10億美元至30億美元(或以其他貨幣為單位的等值金額)。根據該計劃發行的高級票據可以任何貨幣為單位，惟須遵守一切相關法例、法規及指令。根據該計劃發行的永續證券可以人民幣或美元為單位，惟須遵守一切相關法例、法規及指令。根據該計劃發行的證券，不會在香港、美國或任何其他司法權區公開發售。
