建發國際集團(01908.HK)擬設合營收購廈門益瓏100%股權
格隆匯10月31日丨建發國際集團(01908.HK)公佈,於2019年10月31日,公司的間接全資附屬公司益悦、太倉棲泰、廈門益瓏、建發房產、廈門利源及建發上海訂立合作協議,益悦與太倉棲泰同意成立合營企業,當中益悦與太倉棲泰分別擁有51%及49%股權;建發房產及廈門利源同意出售,且合營企業同意以人民幣零元的代價收購廈門益瓏的100%股權;及廈門益瓏的註冊資本將由人民幣100萬元增加至人民幣9億元,而合營企業應出資人民幣8.99億元。
門益瓏為一家於2019年7月1日在中國成立的有限責任公司,該土地為廈門益瓏所持有的主要資產。於,2019年7月26日,廈門益瓏與上海市金山區規劃和自然資源局訂立土地使用權出讓合同,據此,廈門益瓏收購該土地的土地使用權,代價為人民幣17.96億元。於2019年8月20日,廈門益瓏及上海益坤與金山規劃局訂立土地使用權出讓合同補充協議,據此,上海益坤受讓該土地的土地使用權。
該土地位於中國上海金山區金山新城衞零北路以西、龍堰路以北、東平北路以東及龍灣路以南,佔地面積約82,920.7平方米,預計計容建築面積約149,257.26平方米,為住宅用地。該土地周邊設有醫療、教育、商業配套。該土地的土地使用權出讓年限為住宅70年。
公司稱,監於該土地周邊配套齊全,地段良好,具備較大開發潛力;及合作開發該土地可進一步擴大該集團的土地儲備規模,進一步提升該集團在中國房地產市場的知名度,董事認為訂立合作協議有利於該公司拓展主營業務。
