亞太科技(002540.SZ)子公司擬收購阿路米(無錫)有限公司80%股權
格隆匯10月31日丨亞太科技(002540.SZ)公佈，公司的全資子公司無錫海特鋁業有限公司(“海特鋁業”或“乙方”)與無錫阿路米科技有限公司(“阿路米科技”或“甲方”)於2019年10月31日簽訂《股權轉讓意向協議》，海特鋁業擬收購阿路米科技持有的阿路米(無錫)有限公司(“目標公司”)80%股權。
目標公司是一家專業生產製造鋁合金鑄造件及精密機加工零部件的供應商，應用領域涉獵汽車渦輪增壓器零部件、發動機零部件、新能源汽車電機零部件、結構件等行業。
海特鋁業於2019年9月14日與無錫市濱湖區太湖街道辦事處(“太湖街道”)就海特鋁業位於無錫市太湖街道周新東路72號的土地、房屋進行徵收補償的事宜簽署《國有土地上非住宅房屋徵收補償協議書》，根據約定海特鋁業將於2021年12月31日前完成搬遷(具體詳見公司2019年9月17日登載於《證券時報》和巨潮資訊網的《關於全資子公司無錫海特鋁業有限公司簽署徵收補償協議的公告》，公告編號：2019-056)。土地、房屋為遷建所必需，如此次交易最終順利實施，目標公司土地、房屋在滿足其已有業務正常生產經營的同時，能夠作為海特鋁業未來遷建選址的備選方案之一。
公司主營高性能鋁擠壓材的研發、生產和銷售，是國內工業領域特別是汽車領域零部件材料的重要供應商；目標公司是一家專業生產製造鋁合金鑄造件及精密機加工零部件的供應商，應用領域涉及汽車渦輪增壓器零部件、發動機零部件、新能源汽車電機零部件、結構件等行業。如此次交易最終順利實施，將促進公司產品結構、工藝類型的進一步豐富和優化，與公司現有業務形成協同、互補效應，符合公司發展戰略及業務佈局規劃。
該協議為意向性協議，協議的簽署對公司及海特鋁業經營狀況不會產生重大影響；此次收購事項尚未簽署正式的收購協議，如後續雙方順利簽署《股權轉讓協議》，需視審計、評估結果及雙方達成一致意見的收購方案、收購價格確定對公司及海特鋁業財務及經營狀況的具體影響。如此次交易最終順利實施，一方面，目標公司土地、房屋能夠作為海特鋁業未來遷建選址的備選方案之一；另一方面，將促進公司產品結構、工藝類型的進一步豐富和優化，與公司現有業務形成協同、互補效應，符合公司發展戰略及業務佈局規劃。
