跨境通(002640.SZ)：因公司控制權發生變更 5名董事辭職
格隆匯10月31日丨跨境通(002640.SZ)公佈，公司董事會於近日收到公司董事劉標、劉永成、高明，獨立董事賈巍、蘇長玲，公司高管高翔、李豔芳的辭職報告。
公司董事劉標因公司控制權發生變更，申請辭去公司董事職務，同時一併辭去審計委員會委員職務，劉標辭職後將不再擔任公司任何職務。
公司董事劉永成因公司控制權發生變更，申請辭去公司董事職務，同時一併辭去戰略委員會委員職務，劉永成辭職後將繼續在公司任職。
公司董事高明因公司控制權發生變更，申請辭去公司董事職務，高明辭職後將繼續在公司任職。
公司獨立董事賈巍因公司控制權發生變更，申請辭去公司獨立董事職務，同時一併辭去提名委員會委員職務、薪酬與考核委員會主席職務，賈巍辭職後將不再擔任公司任何職務。
公司獨立董事蘇長玲因公司控制權發生變更，申請辭去公司獨立董事職務，同時一併辭去審計委員會委員職務、提名委員會主席職務，蘇長玲辭職後將不再擔任公司任何職務。
根據《公司法》、《公司章程》等有關規定，上述董事辭職將導致公司董事會成員低於法定最低人數，因此其辭職申請在新董事到任之日起方能生效。在此期間，上述董事將繼續履行董事的職責。公司董事會將按照程序儘快提名新的董事候選人，並提交公司股東大會進行審議。
公司副總經理李豔芳因公司控制權發生變更，申請辭去公司副總經理職務，李豔芳辭職後將不再擔任公司任何職務，李豔芳的辭職報告自送達公司董事會之日起生效。
公司董事會祕書、副總經理高翔因公司控制權發生變更，申請辭去公司董事會祕書、副總經理職務，高翔辭職後將不再擔任公司任何職務，高翔的辭職報告自送達公司董事會之日起生效。
按照《深圳證券交易所股票上市規則》等有關規定，董事會祕書空缺期間，由董事長徐佳東先生代行董事會祕書職責。公司將盡快正式聘任董事會祕書。
在此，公司及公司董事會對劉標、劉永成、高明，賈巍、蘇長玲、高翔、李豔芳在擔任公司董事或高級管理人員期間為公司的發展做出的貢獻表示衷心感謝。
