貴州百靈(002424.SZ)擬斥7000萬元參設中靈廣惠 建設中藥材綜合交易電子商務平台
格隆匯10月31日丨貴州百靈(002424.SZ)公佈，公司(“乙方”)與貴州省廣播電視信息網絡股份有限公司(“甲方”)、貴州慧康智雲科技有限公司(“丙方”)擬共同投資組建中靈廣惠(貴州)醫藥健康產業發展有限公司(“中靈廣惠”或“投資標的”)(以公司登記機關核准的名稱為準)，並簽訂《投資協議書》(“協議”)。中靈廣惠註冊資本為人民幣1億元，首期出資總額為人民幣1000萬元，公司擬以貨幣方式認繳出資額人民幣7000萬元，佔投資標的股權的70%，首期出資人民幣700萬元，甲方擬以貨幣方式認繳出資額人民幣1500萬元，佔投資標的股權的15%，首期出資人民幣150萬元，丙方擬以無形資產方式認繳出資額人民幣1500萬元，佔投資標的股權的15%，首期出資人民幣150萬元。
中靈廣惠(貴州)醫藥健康產業發展有限公司(以公司登記機關核准的名稱為準)經營範圍(最終以營業執照核准為準)：以貴州省道地中藥材現貨為主要標的物，通過電子交易系統從事中藥材大宗商品線上交易、交易信息諮詢、產品檢驗檢疫、供應鏈融資、現貨交收、倉儲及物流配送，地產中藥材購銷、農副產品購銷等服務。(依法須經批准的項目，經相關部門審批後方可開展經營活動)。
項目建設概況：中靈廣惠擬建成集中藥材電子交易、第三方檢測、產品溯源、供應鏈金融服務、物流配送、資金結算、信息諮詢為一體的科學、完備、實用、規範的中藥材綜合交易電子商務平台。
項目首期投資與資金籌措：中靈廣惠擬建設的中藥材綜合交易電子商務平台預計項目第一期投資約1000萬元，所有投資主要用於打造中藥材電子電商平台、建設倉儲物流初加工體系、質量保障體系、金融服務體系及網絡交易體系。資金由項目發起股東自籌。
此次公司與與貴州省廣播電視信息網絡股份有限公司、貴州慧康智雲科技有限公司共同投資設立中靈廣惠，順應了國家大力推動實施“互聯網+”的發展戰略，能夠利用互聯網工具推動中藥材交易實現規範化、標準化，提高我國中藥材商品行業的國際競爭力，未來將成為貴州省中藥材產業的重大平台，進一步強化貴州作為全國中醫藥民族藥產業龍頭省份的地位，符合公司“強化公司在苗藥領域的龍頭地位，力爭成為中成藥領域具有核心競爭優勢的企業”這一戰略目標，有利於提高公司的競爭力和持續盈利能力，對公司的戰略佈局起到積極作用。
