天瑞儀器(300165.SZ)擬發行股份收購磐合科儀的37.0265%股權
格隆匯10月31日丨天瑞儀器(300165.SZ)公佈，公司已持有磐合科儀62.4252%股權。此次交易為2017年天瑞儀器首次收購磐合科儀股權事項之延續，鑑於磐合科儀已完成當時協議約定的2017、2018年度業績目標，天瑞儀器啟動此次收購事項。此次交易擬發行股份購買趙學偉、王宏等36名股東持有磐合科儀的37.0265%股權，同時擬募集配套資金不超過4150萬元，用於補充上市公司流動資金及支付此次交易中介機構費用。此次配套融資以此次發行股份購買資產為前提條件，但本次配套融資實施與否及是否足額募集均不影響本次發行股份購買資產的實施。
根據北京中企華出具的評估報告，以2019年5月31日為評估基準日，本次交易所涉及的公司股東全部權益評估值為3.9億元。經上市公司與交易對方協商確定，磐合科儀100%股權作價3.9億元，對應其37.0265%股權的交易價格為1.44億元。
此次交易前，磐合科儀為上市公司的控股子公司，已納入上市公司合併報表範圍。磐合科儀與天瑞儀器的協同效應已經初步顯現，在銷售方面的協同尤為明顯，雙方利用各自的渠道為客户匹配對方的產品，促進整體公司業績的提升。
此次交易完成後，上市公司的業務結構不會發生變化，但是上市公司將加強對磐合科儀的控制力，有利於上市公司藉助資本市場平台大力支持磐合科儀的發展，不斷拓展在環境監測行業、實驗室分析儀器行業的業務佈局，提升上市公司核心競爭力。未來，隨着上市公司與磐合科儀雙方業務的深度融合，協同效應將進一步顯現，主要體現在以下幾個方面：(1)有助於形成完整的產品體系，上市公司將結合自身已有的市場地位及磐合科儀於其細分領域的優勢，在環境監測領域建立起包括污染源監測、工業園區監測、城市監測解決方案在內的立體化產品體系，同時下游應用場景將涵蓋土壤、水質、大氣等多個領域，有助於全面匹配客户對於污染物質的檢測及監測需求，增強客户黏性，提升市場地位，彰顯品牌價值；(2)有助於實現上下游協同和進口替代，隨着技術研發的推進，天瑞儀器生產的色譜儀、質譜儀有望與磐合科儀經營的前處理系統等核心產品有機結合，逐步實現國產化替代，形成完整有效的環境監測、實驗室分析儀器解決方案，降低業務成本，提升公司盈利能力；(3)有助於擴大市場覆蓋面，磐合科儀產品的主要用户為政府單位、科研院校等公立單位，目前天瑞儀器面向這類客户的銷售收入佔比並不高，通過磐合科儀的銷售、服務體系，上市公司可積極開拓行政事業單位客户，促進其分析儀器業務的發展。通過雙方銷售體系的融合、協同，可以進一步提高市場覆蓋率，促進雙方業務發展；(4)有利於實現產研結合，磐合科儀優勢集中體現在面向下游應用場景的研發能力、系統解決方案的設計能力，未來磐合科儀可以依託於天瑞儀器強大的產品開發、生產製造能力，實現產研結合，加快市場響應速度，不斷提升自身的市場競爭力，從而助力上市公司整體業績的提升。
