眾應互聯(002464.SZ)：股東冉盛盛瑞與微夢互娛簽署表決權委託協議之解除協議
格隆匯10月31日丨眾應互聯(002464.SZ)公佈，2019年10月29日，公司股東寧波冉盛盛瑞投資管理合夥企業(有限合夥)(“冉盛盛瑞”)與寧波梅山保税港區微夢互娛投資合夥企業(有限合夥)(“微夢互娛”)簽署《
<表決權委託協議>
之解除協議》，解除約1.0384億股(佔公司總股本的19.90%)股份的表決權委託事項；
2019年10月29日，冉盛盛瑞與微夢互娛簽署《寧波冉盛盛瑞投資管理合夥企業(有限合夥)與寧波梅山保税港區微夢互娛投資合夥企業(有限合夥)關於放棄行使眾應互聯科技股份有限公司之股份表決權的協議》，冉盛盛瑞放棄所持有的公司1.2544億股股份(佔公司總股本的24.04%)所對應的股東表決權及提名、提案權等除收益權和股份轉讓權等財產性權利之外的權利；
此次權益變動前，微夢互娛的一致行動人寧波梅山保税港區瑞燊股權投資合夥企業(有限合夥)(“寧波瑞燊”)合計持有公司股份5215.6749萬股，佔公司總股本的10%。
2019年8月9日，冉盛盛瑞與微夢互娛簽署了《眾應互聯科技股份有限公司股份轉讓協議之補充協議》，冉盛盛瑞擬將持有公司的5217.9439萬股股份(佔總股本的10%)轉讓給微夢互娛，尚未辦理過户手續。
冉盛盛瑞在表決權放棄的棄權期限內，其持有公司股份比例為24.04%，持有的股份表決權比例為0%；微夢互娛及一致行動人寧波瑞燊在此期間，其持有公司股份比例為10.00%，持有的股份表決權比例為10.00%；
此次股份轉讓完成後，冉盛盛瑞持有公司股份比例為14.04%，持有的股份表決權比例為14.04%；微夢互娛及一致行動人寧波瑞燊合計持有公司20.00%股份和對應的表決權。
上述股份轉讓尚需向深圳證券交易所申請辦理協議轉讓審核以及向中國證券登記結算有限責任公司深圳分公司申請辦理股份轉讓過户登記。
