中鋁國際(02068.HK)與中鋁環保成立合營拓展環保節能業務
格隆匯10月30日丨中鋁國際(02068.HK)發佈公告，2019年10月30日，公司全資附屬公司長沙有色冶金設計研究院有限公司(“長沙院”)與中鋁環保節能集團有限公司(“中鋁環保”)就成立中鋁環保節能科技(湖南)有限公司訂立合資合同。
合資公司的經營範圍最終以公司登記機關核定的為準，主要包括環保節能技術的開發、推廣、轉讓、諮詢、交流服務；環保節能工程的諮詢、設計、施工、開發建設、運營管理；建設項目社會穩定風險評估；環境評估；能源評估服務；工程造價專業諮詢服務；城鄉規劃編制；產業園區及配套設施項目的建設與管理；建設項目環境監理；環境檢測；環境保護監測；環保節能設備的研發、製造、銷售的相關的技術服務。
合資公司註冊資本為人民幣5000萬元，對於合資公司的註冊資本，長沙院將以現金人民幣50萬元和價值人民幣2400萬元的無形資產(19項專利)合計出資人民幣2450萬元，佔合資公司註冊資本的49%，中鋁環保將以現金出資人民幣2550萬元，佔合資公司註冊資本的51%。
公告表示，近年來，我國環保產業得到了快速發展，環保公司如雨後春筍不斷湧現。但環保行業公司普遍存在規模小、市場分散的特點。隨着環保政策趨嚴，行業發展迎來新的機遇，其他行業的公司通過併購快速切入環保細分領域，成為了行業發展趨勢。長沙院與中鋁環保成立區域環保節能公司不僅是順應了行業發展趨勢，也發揮了公司在環保節能工程設計、科研開發等方面的優勢。
