亨通光電(600487.SH)擬10.04億元收購華為海洋51%股權
格隆匯10月30日丨亨通光電(600487.SH)公佈，公司擬通過發行股份及支付現金的方式，購買華為投資持有的華為海洋51%股權。此次交易完成後，華為海洋將成為公司持股51%的控股子公司。
此次交易的標的資產交易價格約10.04億元。公司將以向華為投資發行公司境內上市人民幣普通股(A股)及支付現金作為購買標的資產的對價。其中，上市公司應向華為投資非公開發行的股份數約4764.13萬股，應向華為投資支付的現金金額約3.01億元。
根據東洲評估出具的東洲評報字【2019】第1075號《資產評估報告》，以2019年6月30日為評估基準日，選取收益法評估結果作為標的公司的最終評估結論，華為海洋100%股權的評估值為19.7億元，較華為海洋股東權益賬面價值(母公司報表)評估增值約16.45億元，增值率為506.70%。
此次交易前，亨通光電專注於通信網絡和能源互聯領域高端技術、產品研發生產及系統集成服務。目前公司的海纜制造產業已具有一定規模，公司下屬子公司海洋光網主要從事海底光纜的研發制造，公司在國際海洋市場上承接海底光纜訂單已突破了1萬公裏，順利進入國際海底光纜市場體系，成為國際知名的海纜制造企業之一。此外，公司也在積極布局國際海纜運營業務，目前正在推進PEACE跨洋海纜通信系統運營項目建設，將產業鏈從海底光纜生產制造向海底光纜系統運營延伸。
在海洋電力工程方面，子公司亨通海工及其下屬公司亨通藍德擁有多艘敷纜船和“華電穩強”號自升式海上風電作業平台，從事海上風電等領域的海洋工程施工業務。此外，公司與同濟大學合資成立的控股子公司亨通海裝主要從事水下觀測網系統設計、軟件開發、裝備研發與制造及工程服務於一體的海洋工程業務，目前正在積極推進海底綜合觀測網、江河湖泊感知網、海洋牧場感知網、港口碼頭感知網、預警探測網相關業務。
此次交易完成後，在原有海纜研發制造、海底通信網絡運營、海洋電力工程施工的基礎上，上市公司將新增全球海纜通信網絡的建設業務，進一步完善公司海洋產業布局，打通上下遊產業鏈，進一步推動公司在海洋產業領域從“產品供應商”向“全價值鏈集成服務商”轉型。
