澳優(01717.HK)：獨立顧問認為無證據顯示集團總收入被誇大
格隆匯10月30日丨澳優(01717.HK)宣佈，獨立審查的第二階段已告完成，獨立顧問已於2019年10月28日發出最終報告。基於截至最終報告日期所進行的工作及所取得的資料，獨立顧問有關階段性報告未有涵蓋的餘下指控的主要發現如下：
指控四
• 經獨立顧問審查的集團營銷聲明與研究文件內作出的任何主要聲明並無衝突。
• 獨立顧問從中國法律意見、美國法律意見及歐盟法律意見中獲悉，法律顧問認為佳貝艾特產品的標籤符合相應司法權區各自的相關規則及法規的披露規定。
•獨立顧問認為引致佳貝艾特產品錯誤説明的事件已糾正。
•獨立顧問認為，該等事件誠屬無心之失，並非有意欺騙或誤導顧客。
指控五
•獨立顧問並無發現任何證據支持殺人鯨資本聲稱指名分銷商由集團現任或前任行政人員“祕密”控制一事。
•獨立顧問注意到，戴先生並非受沽空機構報告所提述企業醜聞牽連的前任首席財務官。
•獨立顧問注意到，集團2000家分銷商中，相關分銷商的交易總額佔各有關期間集團總收入少於5%。
•獨立顧問注意到，獨立審查委員會曾向公司顧問查詢，以評估公司與指名人士及相關分銷商進行的交易的可能披露規定。經考慮獨立顧問向獨立審查委員會呈交的相關事實及關係後，公司顧問認為，公司於有關期間與指名人士及相關分銷商進行的交易均無須遵守或獲全面豁免遵守上市規則的關連交易披露規定。
指控六
•獨立顧問獲悉於公司的自我檢討及重新編撰過程中，ESG顧問已協助重新編制最新ESG數據，且其與ESG報告所公佈的數據比較存在重編差異。
•獨立顧問獲悉，重編差異主要源於對環境績效單位的誤解及無意的人為錯誤，惟並無證據顯示集團的總收入被誇大。
•獨立顧問注意到，根據最新ESG數據，集團截至2016年、2017年及2018年12月31日止年度的包裝材料、能源及水耗量大致上與總收入及產量趨勢一致。
獨立審查委員會已審閲並接納獨立審查報告中獨立顧問的主要發現。獨立審查委員會認為所有指控缺乏理據，並不成立。
獨立審查委員會從獨立審查中注意到，在若干方面存在可改善之處，包括(i)營銷資料編制；(ii)分銷商合作；及(iii)ESG報告編制。儘管有不足之處，惟獨立審查委員會注意到，公司已妥善地採取措施應對有關事宜。獨立審查委員會認為，導致指控的不足之處誠屬無心之失，並非有意欺騙或誤導顧客，而獨立審查委員會已向董事會提供推薦建議，防止有關事宜再次發生。
