長安民生物流(01292.HK)擬斥資2270萬元與一汽物流等成立合營
格隆匯10月29日丨長安民生物流(01292.HK)發佈公告，2019年10月29日，公司、天津技術、一汽物流、廣汽商貿簽訂了合資合同，根據該合同，各方同意成立合資公司(“天津港國際汽車碼頭有限公司”)。
根據合資合同，合資公司的投資總額為人民幣9.08億元，合資公司的註冊資本為人民幣4.54億元。公司、天津技術、一汽物流、廣汽商貿將分別以現金出資人民幣2270萬元，人民幣2.315億元，人民幣1.044億元，人民幣9534萬元，分別佔合資公司5%,51%,23%,21%的股權。
根據披露，公司、天津技術、一汽物流、廣汽商貿分別以各自認繳出資額為限為合資公司承擔責任，按各自實繳出資額在註冊資本中所佔的比例分享利潤。合資公司將主要從事碼頭建設；港口經營；國際貨運代理、船舶代理、報關報檢；勞務服務；汽車信息諮詢、物流信息諮詢、洗車服務；機動車檢測；機動車維修；展覽展示服務(具體以國家機構頒發的營業執照上記載的經營範圍為準)。合資公司經營期限為50年，自合資公司取得營業執照之日起計算，經股東於股東大會上審議批准及相關政府機構批准後可進行延長。
各方完成對合資公司的出資後，天津技術將持有合資公司51%的股權，一汽物流將持有合資公司23%的股權，廣汽商貿將持有合資公司21%的股權，公司將持有合資公司5%的股權。合資公司的財務業績將不會併入集團的財務報表，合資公司將作為公司的股權投資進行入賬。
公告表示，天津港是世界級人工深水港，中國北方第一大港口，是中國沿海主樞紐港和綜合運輸體系的重要樞紐。天津港是公司於中國北方進行整車水路運輸的重要節點之一。公司預計成為合資公司的股東更方便公司使用天津港並進一步提升公司的商品車水路運輸網絡。此外，GB1589國家政策的實施提高了陸路運輸的成本，公司希望通過提高水路運輸的比例來降低物流服務的成本。在此背景下，投資合資公司有助於公司取得利用天津港這樣的大型滾裝碼頭的渠道。
