佳景集團(00703.HK)擬3億元出售佳勝物業代理全部股權及股東貸款

格隆匯10月28日丨佳景集團(00703.HK)公告,於2019年10月28日,公司全資附屬佳進及添勝為賣方、公司(作為賣方擔保人)、買方(周羅洪)、佳勝與橫琴公司(作為目標公司)訂立出售協議。據此,買方同意,待獲得股東批准後,以現金代價人民幣3億元購買佳勝(橫琴公司現有唯一股東)全部股權連同相關股東貸款。佳勝持有於中國大陸註冊成立全資附屬公司橫琴公司,其唯一資產為該物業。

佳勝於中國大陸擁有一家全資附屬公司橫琴公司,其唯一資產為該物業,其位於橫琴新區粵澳合作產業園。該物業由東面環島東路橫跨至西面子期南道,並由南面香江路橫跨至北面濠江路。該物業佔地面積約為19,939.94平方米及可建築樓面面積合共約為49,849.85平方米。

買方為55歲澳門地居民。彼積逾20年澳門及中國大陸眾多城市物業投資及投資控股經驗。彼為江蘇省常州市金壇區翔峯房地產開發有限公司控股股東兼董事,該公司自2003年以來從事中國大陸物業開發。

因此,儘管出售事項代價人民幣3億元較以上仲量聯行估值人民幣3.96億元折讓約20%,惟出售該物業更為有利。董事認為,出售事項讓集團可即時出售該物業,無需等待更佳要約。董事亦認為,儘管出售事項出現相當大的虧損,出售事項在完成後將為集團產生大量現金流入,並減輕集團開發該物業進一步資承擔。

隨着出售事項完成後帶來大量現金流入,集團可減少銀行借款,並可運用有關現金流入撥付其食物及餐飲業務,而由於橫琴島經濟發展遠遜預期,故此其食物及餐飲業務將繼續注重於其現有市場,且目前並無任何進軍橫琴島食物及餐飲市場計劃。

由於買方已同意承擔有關當局可能就有關出售協議項下該物業開發延遲及中斷所施加任何責任及罰款,因此董事(包括獨立非執行董事)認為,出售協議條款按正常商業條款訂立,屬公平合理,並符合集團及股東整體利益。
