映客(03700.HK)完成收購開曼公司股權 進一步豐富產品矩陣
格隆匯10月28日丨映客(03700.HK)發佈公告，根據有關購股協議，買方同意向投資者股東購買開曼公司的合共63.17%股權，價格為相關境外購買價4758.52萬美元；(ii)買方同意向創辦人控股公司購買開曼公司的36.83%股權，價格為相關境外購買價2779.45萬美元；及(iii)除投資者股東A及投資者股東F外，其他售股股東有條件同意促使各自的境內聯屬人士向買方聯屬公司(個別但非共同)轉讓境內公司的合共84.33%股權，價格為境內購買價人民幣6606.93萬元。該收購事項已於2019年10月28日完成。本次收購完成後，目標集團內的各成員已成為公司的附屬公司，而目標集團的財務業績將合併入集團的財務報表。
公告表示，本次收購完成後，目標集團產品積目APP將進一步豐富公司的產品矩陣。積目APP將加強公司互動娛樂生態的社交屬性，建造平台內生流量體系，為公司打造年輕用户線上社交+娛樂的生態閉環。
根據披露，積目APP被視為社交平台，不僅提供陌生人交友╱約會功能，亦為對聚會、電子遊戲、寵物、電影、旅行、健身或運動鞋感興趣的用户提供一個當代文化興趣社區，供其擴展社交網絡、建立友誼或發展感情。自2016年上線以來，積目APP樹立了年輕、潮流的品牌調性，用户規模快速增長，在年輕人羣中建立了優質的品牌認知度及口碑傳播效應。積目APP的用户為一羣充滿活力的年輕人，願意嘗試新鮮事物併為優質服務付費。
此外，公司將積極展開與積目APP的業務協同：(i)通過公司現有的研發實力及營銷資源助力積目APP的快速發展與擴張；(ii)積目APP具有創新商業模式，為用户提供線上社交服務及線下面對面社交活動，藉助公司多年積累的商業化能力，將幫助積目APP加快商業化進程，建立高效、成熟的商業模式；(iii)積目APP的用户一般為90後，比公司產品的現有目標用户年輕，因此收購積目APP將為公司進入不同目標用户(尤其是年輕用户)的新市場創造協同效應；及(iv)公司亦將因獲得成功的社交平台迅速發展的知識受益，從而將該經驗用於擴張公司自身的業務。
