中昌國際控股(00859.HK)控股股東所持8.44億股押記股份遭執行 明日復牌
格隆匯10月24日丨中昌國際控股(00859.HK)公佈，公司於2019年10月21日獲保證代理人中國信達(香港)資產管理有限公司告知，根據於2019年5月15日由三盛宏業(作為借款人)、陳建銘(三盛宏業的最終實益擁有人)(作為擔保人)、陳豔紅(陳建銘的配偶)(作為擔保人)、上海三盛宏業投資(集團)(三盛宏業的母公司)(作為擔保人)，及保證代理人(作為貸款人、安排人、代理人及保證代理人)所訂立關於一筆為期24個月的7億港元貸款融資的融資協議("融資協議")，以及就融資協議所簽訂之若干融資文件(連同融資協議統稱為"融資文件")，包括但不限於三盛宏業與保證代理人之間就8.44億股公司股份所立的股份按揭，由於持續發生若干於融資文件所載的違約事件，故保證代理人已於2019年10月18日按照股份按揭之條款採取執行行動，而所有押記股份的實益擁有權現歸屬予保證代理人。
緊接採取執行行動前，三盛宏業持有押記股份(即8.44億股公司股份，佔公司全部已發行股份約74.98%)及本金金額1100萬港元的公司可換股票據，其可按當前換股價轉換成1371.57萬股公司新股份。據保證代理人告知，鑑於採取執行行動，三盛宏業不再持有押記股份，並已終止成為公司控股股東。公司獲保證代理人進一步告知，可換股票據受限於融資文件下之抵押權益，而於公佈日期，保證代理人並未就可換股票據採取執行行動。據三盛宏業告知，其正就執行行動對其持有的公司股權及權益披露的必要報備構成之影響尋求法律意見。
據保證代理人告知，保證代理人為放債人條例(香港法例第163章)下的放債人牌照持牌人，併為中國信達間接全資擁有的公司。鑑於採取執行行動，保證代理人所持有的公司投票權由零增加至約74.98%。根據香港公司收購及合併守則第26.1條，保證代理人有責任就保證代理人尚未擁有或尚未同意收購的公司全部證券作出強制全面要約，除非該項責任獲香港證券及期貨事務監察委員會企業融資部執行董事或獲其轉授權力的人士豁免，則作別論。保證代理人已根據收購守則規則26之豁免註釋2申請豁免遵守該項責任。
於2019年10月23日，集團收到銀行函件，要求於2019年10月25日或之前償還全數結欠金額(連累計利息及費用)約10.93億港元，否則銀行將採取適當行動(包括但不限於對集團提起法律程序，藉以收回結欠金額連利息及費用，及╱或對集團的存款行使抵銷權)。集團層面的銀行債項以(其中包括)集團所持若干物業權益作抵押。集團將盡其所能與銀行商討，力求就此事達成和解。公司正在評估該等執行行動及催繳函對集團其他第三方借貸帶來的影響。
此外，公司已向聯交所申請於2019年10月25日上午九時正起恢復股份買賣。
