德信中國(02019.HK)攜手新方投資及杭州兜鼎開發杭州物業項目
格隆匯10月24日丨德信中國(02019.HK)公告,於2019年10月24日,德信地產(公司間接全資附屬公司)、目標公司杭州凱鼎企業管理有限公司(公司間接全資附屬公司)、新方投資、杭州兜鼎與項目公司訂立合作協議,據此:(1)德信地產同意進一步向目標公司的註冊資出資人民幣3.35億元,後目標公司將由德信地產及杭州兜鼎分別持有50.75%及49.25%;及(2)目標公司同意向項目公司杭州駿興置業有限公司(於公告日期為新方投資的全資附屬公司)的註冊資出資人民幣10.8億元,後項目公司將由目標公司及新方投資分別持有67%及33%。
項目公司為在中國成立的有限責任公司(台灣、香港或澳門法人獨資),於公告日期為新方投資的全資附屬公司。其主要業務活動為開發及建設目標地塊。於合作協議完成後,項目公司將成為中外合資企業並將由目標公司及新方投資分別持有67%及33%。根據合作協議,於完成後,項目公司的財務報表將由目標公司合併,且項目公司將成為目標公司的非全資附屬公司,因此在合作協議完成後將成為公司的間接非全資附屬公司。
新方投資已於2019年4月26日在該地塊(位於杭州市的一幅優質土地,指定用於開發商業住宅物業以及社會停車場)的公開招標中成功中標,且根據土地使用權轉讓補充協議,項目公司為該地塊的土地使用權受讓人。集團根據合作協議應向目標公司及項目公司繳納的出資乃由訂約各方經公平磋商後釐定,並參考(i)該地塊土地使用權的代價;及(ii)該地塊的未來前期開發成。
集團根據合作協議應繳納的出資將由集團的內部資源提供資金。集團實施深耕浙江省,佈局長三角及全國主要中心樞紐城市的網絡佈局策略,以擴大其在浙江省的土地儲備,從而為集團於該地區的現有物業開發項目帶來協同效應。
集團認為,訂立合作協議為集團提供了絕佳的投資機會,可進一步提高集團品牌在杭州市的影響力,並更好地鞏固及利用集團在該地區的品牌優勢。因此,董事認為,訂立合作協議符合集團的業務增長及擴張策略。
