ST遠程(002692.SZ)：第三季度淨虧損1.16億元 全年業績預虧5520.94萬元-8671.16萬元
格隆匯10月23日丨ST遠程(002692.SZ)披露三季報，公司2019年前三季度實現營業收入22.15億元，同比下降0.73%；歸屬於上市公司股東的淨虧損7193.87萬元；歸屬於上市公司股東的扣除非經常性損益的淨利潤6300.46萬元，同比增長74.72%；基本每股虧損0.1002元。
其中，第三季度實現歸屬於上市公司股東的淨虧損1.16億元；歸屬於上市公司股東的扣除非經常性損益的淨利潤2013.13萬元，同比增長1,098.03%。
此外，公司預計2019年度歸屬於上市公司股東的淨虧損5520.94萬元-8671.16萬元，上年同期虧損3.67億元。
業績變動的原因：2018年1月18日，杭州市中小商貿流通企業服務有限公司(“杭州中小”)與秦商體育簽訂《借款合同》，杭州中小向秦商體育提供借款本金1.9億元，借款期限為2018年1月19日至2018年2月7日。同時秦商體育與杭州中小簽訂《質押合同》，以其持有的公司3550萬股股票提供質押擔保；公司原法定代表人夏建軍利用職務之便，在公司不知情的情況下，和夏建統、天夏智慧與杭州中小簽訂《保證合同》，違規對外承擔連帶保證責任。因秦商體育未及時歸還借款，杭州中小起訴要求秦商體育歸還借款本金及利息等；要求擔保人承擔連帶保證責任。2018年8月14日，杭州中小與秦商體育、公司、夏建統、李明、深圳秦商集團有限公司(“秦商集團”)、艾斯弧(杭州)建築規劃設計諮詢有限公司(“艾斯弧”)等簽訂《和解協議書》，各方同意並確認，截止2018年8月14日，秦商體育欠杭州中小借款本金1.9億元及利息1711.56萬元(此後至股票實際交易日或實際償付之日止的利息按月息2%標準據實另計)；秦商體育承擔杭州中小已發生的律師費、案件受理費、保全費等合計464.10萬元；秦商體育將其持有的公司3550萬股股票以協議轉讓的方式按股份轉讓協議書籤署日的前一交易日公司股票在二級市場收盤價的90%轉讓至杭州中小指定的第三人；秦商體育轉讓質押股票可得的款項優先償還/折抵欠付的利息、費用，餘款再用於償還/折抵尚欠的借款本金；公司、夏建統等繼續提供連帶責任保證擔保，李明、秦商集團、艾斯弧追加提供連帶責任保證擔保。2019年3月，秦商體育持有的公司3550萬股股票通過強制執行的集中競價方式和司法劃轉方式被動減持。本案中，公司前法定代表人、董事長夏建軍在杭州中小起訴後，為避免擴大影響，利用當時法定代表人的身份，私下以公司名義與杭州中小達成調解，該調解書成為其後杭州中小申請強制扣劃公司款項的依據。截至公告披露日，因該案件公司銀行賬户資金被累計司法劃扣約1.19億元，因此在2019年年度財務報表中將增加計提該扣劃金額至營業外支出，進而導致公司2019年報表歸屬於上市公司股東的淨利潤為虧損。"
