新文化(300336.SZ)與上海碧虎網絡科技簽訂戰略合作框架協議
格隆匯10月23日丨新文化(300336.SZ)公佈，公司(“甲方”)近日與上海碧虎網絡科技有限公司(“乙方”)簽署了《框架協議》。
為推進良好的業務合作關係，實現資源共享和優勢互補，推動雙方業務共同發展，甲乙雙方一致同意結成戰略合作伙伴關係。甲乙雙方本着自願、平等、互利的原則，經充分協商，簽訂協議。
上海碧虎網絡科技有限公司主營業務：網絡科技、電子科技、計算機軟硬件專業領域內的技術開發、技術轉讓、技術諮詢、技術服務,電信業務,電子商務(不得從事金融業務),商務信息諮詢,廣告設計、製作、代理,利用自有媒體發佈廣告,銷售:電子產品、通信設備(除衞星電視廣播地面接收設施)、機電設備、汽車配件、日用百貨、計算機軟硬件。【依法須經批准的項目,經相關部門批准後方可開展經營活動】
合作內容:甲方擁有覆蓋全國的户外LED大屏，乙方擁有立足上海面向全國的移動車屏。甲乙雙方將利用雙方各自優勢進行資源互補，為雙方客户創造更有優勢的媒體矩陣，成為新的整合渠道，形成資源及客户共享。1)在不影響雙方各自擁有原有的客户利益前提下，甲乙雙方互相置換媒體資源並積極配合，在全國範圍內根據各自客户優勢提供線上線下整合營銷方案提升預算收入。具體以每一次的項目協議為準。2)甲乙雙方同意在遵守法律、合乎規定且不違反雙方與客户簽訂的相關協議前提下，利用各自的客户及優勢資源，幫助對方拓展在各自領域中的影響力，推動雙方此聯盟的業務發展。3)合作期間，雙方將迎合發展趨勢，共同打造新的傳播聯合載體，乙方為甲方提供媒體數字平台技術服務，擴大自身的精準營銷業務的媒體資源範圍，增強雙方在傳統媒體渠道的影響力。4)合作期間，通過與乙方戰略合作，增強線下傳播的實力，打造户外媒體矩陣的新型宣傳模式，提升雙方客户在投放廣告上的效率和價值。
協議不涉及具體業務，暫無法預計協議對公司當年經營業績的影響。如協議順利實施和推進，將有助於公司業務發展，預計將對公司未來的經營業績產生積極影響。協議的簽訂和履行不影響公司業務獨立性，不會因履行協議而對協議一方產生依賴性，不會對公司與其他合作方的合作構成排他性。協議的簽署有助於整合雙方資源以取得良好的經濟效益並形成長期戰略合作關係，實現合作共贏，對公司未來戰略目標的實現有積極的促進作用。
