勝利精密(002426.SZ)就出售蘇州捷力予恩捷股份 交易對價調至18億元並取消業績對賭
格隆匯10月22日丨勝利精密(002426.SZ)公佈，就出售蘇州捷力新能源材料有限公司100%股權予恩捷股份(002812.SZ)，2019年10月22日，公司召開第四屆董事會第二十八次會議審議通過了《關於公司與恩捷股份簽署
<關於蘇州捷力新能源材料有限公司股權轉讓協議之補充協議>
的議案》，同意公司與恩捷股份於同日簽署《關於蘇州捷力新能源材料有限公司股權轉讓協議之補充協議》，雙方擬調整交易總對價，並取消業績對賭約定。按補充協議條款約定，轉讓方為蘇州勝利精密製造科技股份有限公司，受讓方為雲南恩捷新材料股份有限公司，協議主要條款如下：
一、現雙方同意，將原交易對價總額調整為18.008億元人民幣，轉讓方承諾在交割日，蘇州捷力賬面所顯示的對轉讓方的其他應付款的數額上下浮動偏差不得超過10.68億元人民幣的3%(以交割審計結果為準)。交割日該其他應付款數額上下浮動偏差在3%範圍內的，則交易對價其他應付款部分的金額10.68億元人民幣不變。
二、現雙方同意，取消原協議“第6條業績對賭”約定的業績對賭。
三、雙方確認，截至本協議簽署之日，受讓方已向轉讓方支付3億元定金，雙方同意已經支付的定金適用《股權轉讓協議》約定的定金罰則，除定金以外，剩餘款項按照如下時間支付：
(1)第一筆交易款：雙方同意，受讓方在2019年11月7日前且雙方股東大會就本次交易決議通過後，向勝利精密支付人民幣4.2億元交易款。該交易款支付的前提條件為《股權轉讓協議》生效且《股權轉讓協議》約定的價格支付前提條件均滿足或被受讓方豁免。
(2)第二筆交易款：雙方約定在2019年12月1日前支付5.8億元人民幣，該交易款支付的前提條件為《股權轉讓協議》及本協議上述補充約定的價格支付前提條件均滿足。
若受讓方已支付的交易款不低於9.5億元人民幣(其中包含了受讓方已經支付的3億元定金的)，則轉讓方應在十五個工作日內完成股權轉讓的工商變更登記，如果未能按時完成工商變更，則轉讓方應當自逾期之日起，按照受讓方已經實際支付的全部價款的每日萬分之三支付罰金。
(3)第三筆交易款：受讓方應在2019年12月31日前，向轉讓方支付蘇州捷力對勝利精密其他應付款中的3.008億元(含交易基準日前蘇州捷力其他應付款的相應利息)。
(4)第四筆交易款：雙方同意，在2020年1月15日前且雙方簽署交割確認書，如果蘇州捷力在交割日賬面顯示的其他應付款數額在本協議第一條所約定的偏差範圍內，則受讓方應向轉讓方支付2億元人民幣尾款。
第三筆交易款支付完畢之時，即視為蘇州捷力賬面欠勝利精密的其他應收款已經完成支付，勝利精密對蘇州捷力的債權清零，自該時點開始，轉讓方將其對蘇州捷力的債權包括借款本金及利息全部轉讓給受讓方，蘇州捷力僅對受讓方支付欠款。
四、除《股權轉讓協議》中約定的交割後承諾，勝利精密對交割後的事項承諾作出了約定。
