科瑞技術(002957.SZ)擬7686.44萬元收購深圳帝光100%股權
格隆匯10月22日丨科瑞技術(002957.SZ)公佈，公司於2019年10月22日與深圳市瑞東投資有限公司(“瑞東投資”)共同簽署了附生效條件的《深圳科瑞技術股份有限公司與深圳市瑞東投資有限公司關於深圳帝光電子有限公司之股權轉讓協議》(“股權轉讓協議”)，公司擬以支付現金方式購買深圳帝光電子有限公司(“標的公司”、“交易標的”、“深圳帝光”)100%股權。此次交易標的深圳帝光100%股權的評估價值為7686.44萬元人民幣，經交易各方協商確定的交易價格為7686.44萬元人民幣。此次交易的資金由公司通過自有資金、銀行貸款及其他方式自籌。
截至2019年6月30日，標的公司的負債總額為2.55億元。其中，標的公司應償還瑞東投資的借款本息合計為1.28億元(“債務一”)，應償還農商行龍華支行的貸款餘額為1.23億元(“債務二”)。
此次交易完成後，公司擬通過向標的公司提供股東借款的方式或其他方式協助標的公司償還債務：(1)對於債務一，公司將在股權轉讓完成之日起90日內向瑞東投資償還；(2)對於債務二，公司將按照農商行龍華支行與標的公司的還款約定，向標的公司提供借款。此次交易完成後，在債務二存續期內，為避免瑞東投資及其股東、實際控制人與公司持續發生關聯交易，公司將與農商行龍華支行溝通協調，以公司為標的公司債務二提供的其他擔保替代瑞東投資及其股東、實際控制人為標的公司提供的擔保。
深圳帝光電子有限公司經營範圍：生產經營平板顯示器、LED光電器件、保險絲、LCD模塊、背光源、電子元器件(不含限制項目及國際許可證管理產品)(生產項目在分支機構經營)；普通貨運(僅限自貨自運)
標的公司目前擁有的主要資產包括：(1)坐落於光明街道東長路的A608-0133號工業用地(土地面積為34930.56平米)及地上建築物(合計房屋面積為50365.24平米)，土地使用證號：粵(2017)深圳市不動產權第0192155，土地使用期限至2057年6月28日；(2)坐落於福田區深南大道與彩田路交界西南的星河世紀大廈A棟23層的16套商品房(合計房屋面積為1223.84平米)，土地使用期限至2074年9月12日。
公司所處深圳地區企業用地緊張，政府出讓土地有限，此次交易的目的是為了儘快解決公司目前在深圳地區多地租賃、成本高、管理困難等問題，並滿足公司未來持續發展的研發、製造經營場地需求。此次收購符合公司戰略發展佈局與整體經營需要，有利於增強公司競爭力，並可解決公司與瑞東投資之間的關聯租賃。
