雪萊特(002076.SZ)及子公司擬轉讓富順光電100%股權予好來電及金鑫豐
格隆匯10月22日丨雪萊特(002076.SZ)公佈，公司及全資子公司佛山雪萊特管理諮詢有限公司(“管理諮詢”)擬將合計持有的富順光電科技有限公司(“富順光電”)100%股權以人民幣1元的價格轉讓給好來電(廈門)新能源科技有限公司(“好來電”)及漳州市金鑫豐投資有限公司(“金鑫豐”)。此次交易完成後，公司及管理諮詢不再持有富順光電股權。
富順光電科技股份有限公司經營範圍：LED顯示屏、LED照明產品的研發、製造和銷售；VR/AR虛擬現實技術的研發、銷售及其設備的研發、製造和銷售；電動汽車充電設施建設運營；充電樁、機器人、廣告機、路燈、智慧路燈、太陽能路燈、交通信號燈、太陽能電池組件、太陽能控制器、路燈燈杆、太陽能專用鋰電池、鉛酸電池、膠體電池、智能移動信息終端、智能交通控制系統及設備、智能窗口對講系統及設備的研發、製造和銷售；電子技術諮詢服務；工程技術諮詢服務；合同能源管理；節能技術推廣服務；電子工程、建築智能化工程、鋼結構工程、城市及道路照明工程、送變電工程、機電設備安裝工程的設計、承包、施工。(依法須經批准的項目，經相關部門批准後方可開展經營活動。)
因開拓新能源汽車充電樁業務，受宏觀經濟形勢、行業及客户情況影響，導致富順光電出現資金短缺、債務逾期，經營大額虧損，當前淨資產為負。因涉及大量訴訟仲裁糾紛，富順光電部分資產、銀行賬户被查封凍結，部分資產被法院扣押，富順光電已處於停產狀態。鑑於富順光電的當前實際情況，公司同意將富順光電全部股權進行轉讓。此次股權轉讓完成後，公司合併報表範圍將發生變更，富順光電將不再納入公司合併報表範圍。
此次股權轉讓符合公司“聚焦主業、穩健經營”的整體發展戰略，有利於減少公司虧損，控制經營風險，改善公司財務狀況、優化資產結構，保障公司持續發展，符合公司及全體股東利益。
