健民集團(600976.SH)擬委託山東百諾醫藥開發託莫西汀口服溶液
格隆匯10月22日丨健民集團(600976.SH)公佈，2019年10月22日，公司第九屆董事會第二次會議審議通過“關於簽訂《技術委託開發合同書》的議案”，同意公司與山東百諾醫藥股份有限公司簽署《技術委託開發合同書》，委託其開發託莫西汀口服溶液。
擬開發藥品基本情況：藥品名稱：託莫西汀口服溶液；適應症：用於治療6歲以上兒童和青少年的注意缺陷/多動障礙(ADHD)；規格：4mg/mL,100mL/瓶。擬投入資金及來源：技術委託開發服務費500萬，另外藥品申報還需投入的配套資金190萬，合計690萬元，資金來源於公司自有資金。
山東百諾醫藥股份有限公司經營範圍：藥物研究與開發、技術轉讓及相關的技術諮詢；貨物及技術進出口。(依法須經批准的項目，經相關部門批准後方可開展經營活動)
注意缺陷/多動障礙是兒童期常見的精神障礙之一，我國兒童注意缺陷/多動障礙的總髮病率為5.7%，其中約50%—60%患兒的症狀會持續到成人或終身。
託莫西汀是全球第一個批准用於治療注意缺陷/多動障礙(ADHD)的非興奮性藥物，美國、加拿大兒童和青少年精神病學會將託莫西汀推薦為治療ADHD一線藥物，我國ADHD防治指南中將也其作為治療ADHD的主要推薦用藥，目前國內只有3家制劑上市，口服溶液除原研企業外，暫無其他企業生產。
健民藥業集團股份有限公司(甲方)委託山東百諾醫藥股份有限公司(乙方)開發“託莫西汀口服溶液”(規格：100ml:0.4g)項目，合同主要條款如下：
甲方委託乙方按現行《藥品註冊管理辦法》的規定，完成“託莫西汀口服溶液”(規格：100ml:0.4g，註冊分類化藥4類，“合同產品)藥學研究工作，甲方負責其他工作及申報生產的相關工作(乙方協助甲方完成)並承擔相關的費用。甲方向乙方支付合同產品技術開發費，總計人民幣500萬元。合同產品註冊批件及上市許可持有人所有權歸甲方，甲方擁有使用權及轉讓權等。甲方有權利用乙方按照合同約定提供的研究開發成果，進行後續改進。由此產生的具有實質性或創造性技術進步特徵的新的技術成果及其權利歸屬，由甲方所有。乙方有權利用該項研究開發成果進行後續改進，由此產生的具有實質性或創造性技術進步特徵的新的技術成果及其權利歸屬，由乙方所有，甲方具有優先使用權。
託莫西汀口服溶液的開發不會對公司及控股子公司近期生產經營產生重大影響，託莫西汀口服溶液有利於補充公司兒童藥品品種，豐富公司的兒科產品線。
公司與第三方簽訂技術開發合同，有利於擴大公司藥品研發能力和範圍，一定程度上節約了公司研發成本，分攤研發風險；且合同均以標的藥品達到與原研藥品的質量和療效一致，最終獲得藥品批准文號為目標，將對公司產生積極影響。
