藍海華騰(300484.SZ)：控股股東將變更為雲內動力 實控人將變更為昆明國資委
格隆匯10月22日丨藍海華騰(300484.SZ)公佈，2019年10月20日收到公司控股股東、實際控制人邱文淵、徐學海，公司股東姜仲文、傅穎、時仁帥、黃主明、華騰投資、深中騰投資通知，以上各方與雲內動力(000903.SZ)簽署了《昆明雲內動力股份有限公司與深圳市藍海華騰技術股份有限公司股東之股份轉讓協議》，擬通過協議轉讓方式將其合計持有的公司股份3775.94萬股轉讓給雲內動力，佔公司總股本的18.15%。
本次權益變動前，邱文淵、徐學海於2019年3月26日共同簽署了《一致行動協議》，邱文淵直接持有藍海華騰15.45%的股份，徐學海直接持有藍海華騰9.71%的股份，並通過華騰投資、藍海中騰間接控制藍海華騰8.51%的股份，為藍海華騰的控股股東、實際控制人。
本次權益變動後，雲內動力持有藍海華騰股份比例為18.15%，為公司的第一大股東，為保障雲內動力在取得藍海華騰股份後能實現對藍海華騰的控制，邱文淵、徐學海做出如下承諾：
“1)邱文淵、徐學海承諾在雲內動力完成本次收購的藍海華騰股份過户登記之日，解除一致行動人協議，不再作為一致行動人行使股東權利。
2)徐學海承諾放棄其所持有的藍海華騰股份的表決權，承諾期間為雲內動力本次收購藍海華騰股份完成過户之日起12個月。
3)邱文淵、徐學海承諾雲內動力本次收購藍海華騰股份完成過户之日起二十四個月不與藍海華騰的其他股東就所持有的藍海華騰的股份的股東權利達成任何書面或口頭的一致行動人協議，不就行使藍海華騰股東權利進行一致行動計劃、規劃等。
4)邱文淵、徐學海若違反上述承諾就所持有的藍海華騰股票的股東權利所作出的意思表示，若影響雲內動力控股藍海華騰的權利行使的，雲內動力有權要求確認邱文淵、徐學海行使股東權利無效，並由邱文淵、徐學海承擔由此產生的法律責任。”
本次權益變動後藍海華騰的控股股東將變更為雲內動力，實際控制人將變更為昆明市國資委。
