天威視訊(002238.SZ)擬向網絡工程公司增資2000萬元
格隆匯10月22日丨天威視訊(002238.SZ)公佈，深圳市天威網絡工程有限公司(“網絡工程公司”)系公司的全資子公司，為進一步增加網絡工程公司的軟件開發和系統集成的研發投入，增強網絡工程公司的經營競爭力，推動網絡工程公司經營業務實現“跨地域、跨行業”的突破，公司擬以網絡工程公司的未分配利潤對網絡工程公司增資2000萬元人民幣。具體如下：以網絡工程公司截止2018年12月31日的未分配利潤約4248.42萬元為基數(以上財務數據已經立信會計師事務所(特殊普通合夥)審計)，將其中2000萬元轉增註冊資本，剩餘未分配利潤餘額為 約2248.42萬元結轉至下一年度。此次增資完成後，網絡工程公司的註冊資本將由原來的1000萬元人民幣增加到 3000萬元人民幣，公司仍持有網絡工程公司 100%的股權。
深圳市天威網絡工程有限公司經營範圍：有線廣播電視和通信工程勘測、設計及施工；有線廣播電視網絡及其他通信網絡維護技術服務（不含國家法律、行政法規、國務院決定規定需報經審批的項目）；廣播電視器材設備及其他通信行業器材設備產品的銷售及銷售代理（不含國家法律、行政法規、國務院決定規定需報經審批的項目）；計算機信息科技技術開發及相關的技術諮詢、技術服務，自有技術成果轉讓；計算機軟硬件的開發與銷售、計算機系統集成。（企業經營涉及前置性行政許可的，須取得前置性行政許可文件後方可經營）
目前，網絡工程公司主要承擔深圳地區有線電視綜合信息網的管理維護、應急處置和保障傳輸中心以外的網絡政治安全、運行安全，以及對外項目網絡的優化、施工。多年來，網絡工程公司的經營情況一直較為穩定，本次增資有利於增加該公司軟件開發和系統集成的研發投入，豐富其對外產品層次，從而進一步增強經營能力和市場競爭力，提升對外業務投標競爭實力，爭取更多的對外投標機會，實現“跨地域、跨行業”的突破，也有利於公司的長遠發展，符合公司及全體股東利益，不存在損害公司及全體股東利益的情形。
