上海電力(600021.SH)：KE公司已獲得在訴訟完成前電價暫不生效的法令
格隆匯10月21日丨上海電力(600021.SH)公佈，公司於2016年10月28日分別召開2016年第十一次臨時董事會、2016年第四次臨時監事會，並於2016年12月16日召開2016年第一次臨時股東大會，審議通過公司以現金方式購買KES POWER LTD.(“KES能源公司”)持有的K-ELECTRIC LIMITED(“KE公司”)的18,335,542,678股股份，佔KE公司總髮行股本的66.40%的交易的相關議案。
公司現就此次交易截至公告發布之日的實施進展及尚需開展的工作情況公告如下：
1、截至公告發布之日，公司及相關各方已經獲得中華人民共和國發展和改革委員會的批覆、巴基斯坦競爭委員會的批准等先決條件。
2、KE公司新多年電價機制(MYT)事宜進展
鑑於2017年3月巴基斯坦國家電力監管局(NEPRA)發佈的新MYT與預期存在差距，KE公司向法院起訴並獲得新MYT不生效的法令，且直至新MYT發佈前，原MYT將一直適用；同時KE公司向NEPRA提交了正式的複議材料，並獲得了受理。之後，交易對方和KE公司開展了大量工作，與NEPRA進行了積極磋商，並獲得了巴基斯坦政府的支持和對KE公司電價訴求的理解。巴基斯坦時間2017年10月9日晚，NEPRA發佈了對KE公司新MYT的複議結果。在新MYT複議結果中，KE公司在複議材料中提出的部分訴求被NEPRA接受並予以調整，但複議結果仍未能達到預期。
根據巴基斯坦相關規定，巴基斯坦聯邦政府有權要求NEPRA對裁定電價進行重新考慮。在NEPRA作出新的決定並告知巴基斯坦聯邦政府之前，電價將暫不生效。經交易對方回覆確認，巴基斯坦政府相關主管部門已就KE公司的新MYT電價複議結果正式致函NEPRA，要求其對電價複議結果進行重新考慮。為此，NEPRA召開了新MYT電價重新考慮聽證會，巴基斯坦政府高度重視並多次召開相關專題會議。
NEPRA已公佈了“重新考慮”後的MYT。KE公司已向法院對NEPRA的電價複議決定提出訴訟，並已獲得在訴訟完成前電價暫不生效的法令。
此次交易仍存在因電價發生變化而影響標的公司盈利能力的可能，或將導致此次交易終止的風險。上海電力將與此次交易對方和KE公司保持密切溝通，支持並幫助其獲得合理預期的電價，根據最終結果評估對本次交易的影響，並及時披露相關進展情況。
3、公司將繼續推進此次交易的相關工作，包括此次交易的融資事宜、股份轉讓及支付對價等事宜。在此次交易未完成交割之前，此次交易仍存在相關風險。
