科恆股份(300340.SZ)子公司與大連化物所簽署燃料電池項目戰略合作協議
格隆匯10月21日丨科恆股份(300340.SZ)公佈，2019年11月17日，公司全資子公司浩能科技與中國科學院大連化學物理研究所(“大連化物所”)簽署了《燃料電池項目戰略合作協議》，就雙方在燃料電池項目設備研發、業務開展等達成了框架性協議。
大連化物所創建於1949年3月，是一個基礎研究與應用研究並重、應用研究和技術轉化相結合，以任務帶學科為主要特色的綜合性研究所，是中國科學院知識創新工程首批試點單位之一，其重點學科領域包括催化化學、工程化學、化學激光和分子反應動力學以及近代分析化學和生物技術。
協議的主要內容(甲方：深圳市浩能科技有限公司；乙方：中國科學院大連化學物理研究所):
甲方是研發、製造和銷售新能源智能製造裝備以及提供有關技術服務的領先企業，擁有較強的技術研發實力以及較低成本製造優勢；乙方是一個基礎研究與應用研究並重、應用研究和技術轉化相結合，以任務帶學科為主要特色的綜合性研究所。旗下“醇類燃料電池及複合電能源研究中心”(DNL0305組羣)在醇類燃料電池及複合電能源的關鍵材料、核心部件、系統集成等研發方面具有較強的研發實力。雙方優勢互補，共同研發質子交換膜塗布設備將有助於提升雙方在各自領域的競爭力。甲乙雙方秉持誠信合作、共同發展的原則，經友好協商，並遵循中華人民共和國有關法律規定，結成戰略合作伙伴，達成如下合作協議：
1、協議的基本原則是平等自願、合作雙贏、保守祕密、協作發展。
2、甲方承諾將乙方DNL0305組羣作為優先服務客户，積極響應乙方研發需求，優先配合乙方項目研發。乙方DNL0305組羣承諾後續質子交換膜塗布設備在技術規格和價格同等條件下優先從甲方採購，相關塗布研發項目也優先選擇甲方作為配套服務廠商。
3、甲乙雙方在合作過程中產生的知識產權歸各自研發/研製方所有。
4、甲方設備以戰略合作配套特別優惠價提供給乙方，並提供優先服務支持。
5、協議為框架協議，是甲、乙雙方今後長期合作的指導性文件，也是雙方簽訂相關合同業務的基礎。
6、對於協議中未約定的事項，雙方將友好協商解決。
7、協議甲、乙雙方簽字蓋章後生效。一式兩份，甲、乙雙方各執一份。
隨着新能源產業近年來的發展，氫燃料電池行業也得到較大的發展，相關設備領域未來預計有較大的市場空間。此次戰略合作協議的簽訂有利於浩能科技氫燃料電池領域設備研發能力的提升及業務的開展，相應拓寬浩能科技產品範圍，對公司核心競爭力提升有積極影響。此次戰略合作協議為雙方合作的框架性協議，不涉及具體金額，短期內不會對公司業績帶來較大影響。
