先河環保(300137.SZ)擬斥7500萬元參設河北先進環保產業創新中心
格隆匯10月21日丨先河環保(300137.SZ)公佈，公司收到了河北省發展和改革委員會下發的《關於同意組建河北省先進環保產業創新中心的批覆》(冀發改高技[2019]1298號)，同意由公司牽頭，組建河北省先進環保產業創新中心，由公司牽頭投資成立產業創新中心企業法人，探索完善“董事會+理事會+產業治理聯盟”的開放運行模式，成為產權結構清晰、運行機制市場化、人才激勵制度化、研發投入有保障的新興產業創新主體。
現公司擬與石家莊榮馳環境治理中心(有限合夥)共同投資設立河北先進環保產業創新中心有限公司(“標的公司”)，註冊資本為人民幣1億元，其中公司以貨幣出資7500萬元，佔註冊資本的75%，石家莊榮馳環境治理中心(有限合夥)以貨幣出資2500萬元，佔註冊資本的25%。
河北先進環保產業創新中心有限公司擬定經營範圍：生態環境物聯網與大數據應用技術、先進環保、節能產業技術及相關產品的研究、開發、設計、製造、檢驗、檢測；先進環保系統解決方案諮詢、設計；環保設備及材料、儀器儀表銷售；大氣治理、VOCs治理、揚塵治理、柴油車尾氣治理、河道治理、水污染治理；固體廢棄物處置及回收利用；環境修復；土壤修復；地下水修復；環境健康相關產業開發；銷售計算機、軟件及輔助設備；軟件開發，計算機系統服務(國家限制性項目除外)；科技企業的孵化、技術諮詢、技術服務、技術轉讓、環境評估等；企業管理諮詢、知識產權運營及服務；產業基金運營、項目投資、資產管理；物業管理；房屋租賃，場地租賃(不含倉儲)，環保產業會展；人才交流與培養。(依法須經批准的項目，需經相關部門審批後方可開展經營活動)。
此次公司投資設立子公司是為解決生態環境問題和打好污染防治攻堅戰等國家需求，創新環境管理模式、改善環境質量，以區域環境綜合達標為目標，以環境物聯網、人工智能、高密度、全覆蓋監測和大數據分析為基礎，以源解析加減排規劃制定為科技指引，結合大數據應用分析，精準找源，實現環境持續達標治理與保持經濟發展平衡，從而避免“一刀切”的環境管控，實現區域生態環境質量持續達標，促進區域經濟的協調和綠色可持續發展。
此次投資有利於進一步推進創建環保應用新模式，推動公司業務的戰略佈局，提升公司的市場競爭力，進而實現公司及股東利益最大化。此次投資的資金來源於公司自籌資金，公司將根據需要把控投資進度，不會對公司財務及經營狀況產生不利影響，不存在損害上市公司及股東利益的情形。
