共享集團(03344.HK)發1.5億元CB購5億應收賬款
共享集團(03344.HK)公布,透過間接全資附屬向公司執行董事黃斌購入目標公司,後者將獲轉讓總額約5億元應收賬款,連同任何相關質押資產的任何擔保權。
公司將以發行本金額為1.5億元之可換股債券方式支付,兌換價為每股兌換股份0.12元,較上一個交易日收市價折讓11.8%。假設兌換權按兌換價獲悉數行使,配發及發行新股份數目為12.5億股,佔擴大後股本之16.6%。
倘公司實際收到的應收賬款高於1.5億元,公司將支付相等於應收賬款超出部分50%之金額。
