豐盛服務集團(00331.HK)擬7.05億港元收購香港物業管理服務公司
格隆匯10月18日丨豐盛服務集團(00331.HK)宣佈,於2019年10月18日,公司、買方公司(為公司間接全資附屬FSE Property Management Group Limited)及賣方豐盛創建管理訂立買賣協議,涉及公司收購(或促使買方公司收購)向賣方收購目標公司Legend Success Investments Limited全部已發行股份,代價為7.05億港元,包括現金代價5.64億港元須以現金支付;及非現金代價1.41億港元透過公司發行可轉換優先股償付,轉換價為每股3.2260港元,較10月17日收市價3.23港元折讓約0.12%。
目標公司的主要業務為投資控股,於重組完成後,目標集團將透過富城集團及僑樂集團經營業務,並將主要於香港從事提供物業管理服務。按受管理住宅物業單位數目、非住宅物業(不包括車位)面積及車位數目計算,目標集團為第二大物業管理服務公司。物業管理服務一般包括監督住宅1及非住宅2物業的清潔、保安、維修及保養,包括寫字樓、購物商場、酒店、政府機構、機場、生態園、學術機構及停車場。目標集團目前為沙田第一城、數碼港、環保園、香港科學園、會展廣場、K11及海濱花園等知名物業項目提供物業管理服務。截至2017年6月30日、2018年6月30日及2019年6月30日止三個財政年度,目標集團發揮高強實力留住現有客户,併成功與新客户訂立物業管理協議以維持業務穩定增長。
於2019年10月18日,買方公司(作為借款人)以及公司兩間直接附屬公司豐盛機電工程集團有限公司及FSE Facility Services Group Limited(作為擔保人)與銀行訂立融資協議,以便為建議收購提供資金。融資協議為建議收購提供高達6億港元或相當於總代價80%(以較低者為準)的資金。
此外,於公告日期,公司的法定股本為1億港元,分為10億股普通股。為求於完成後配發及發行可轉換優先股,董事會建議將公司的法定股本1億港元重新分配,分為9億股每股面值0.10港元的普通股及1億股每股面值0.10港元的可轉換優先股。
