正業科技(300410.SZ)或迎東莞國資委入主
格隆匯10月18日丨正業科技(300410.SZ)公佈，公司於2019年10月18日接到公司控股股東東莞市正業實業投資有限公司(“正業實業”)的通知，控股股東、實際控制人徐地華與東莞市上市莞企發展投資合夥企業(有限合夥)(“上市莞企發展投資”)簽署了《合作意向協議》，上市莞企發展投資擬通過受讓控股股東持有的公司股票、增資正業實業或受讓徐地華及其一致行動人持有的正業實業全部或部分股權等方式予以徐地華、正業實業流動性支持。此次交易完成後，可能導致公司控制權發生變更。
上市莞企發展投資為依法設立於東莞市並有效存續的有限合夥企業，系東莞市政府以支持企業穩定發展為目標，主要為改善上市公司的流動性問題提供資金支持，幫助市場主體穩健發展，促進東莞本土上市公司穩定發展而設立的合夥企業。
協議顯示(甲方：東莞市上市莞企發展投資合夥企業(有限合夥)；乙方：徐地華；丙方：東莞市正業實業投資有限公司）：
甲方擬通過受讓丙方持有的公司股票、增資丙方或受讓乙方及其一致行動人持有的丙方全部或部分股權等方式予以乙方、丙方流動性支持，具體方式及比例視各方協商情況及甲方有權審批機構確定。此次交易完成後，甲方有可能會直接或間接成為公司的實際控制人。
甲方取得公司控股權後，將保持公司現有管理層的穩定，強化法人治理結構，支持公司主營業務的可持續發展壯大。
此次交易若順利實施，上市莞企發展投資可能成為公司控股股東，東莞市國資委可能成為公司實際控制人，有利於優化公司股權治理結構，進一步提升公司的資信能力及抗風險能力，增強公司的品牌、資金和市場開拓能力。
此次交易若完成後，東莞國資委將保持公司現有管理層的穩定，強化法人治理結構，支持公司主營業務的可持續發展壯大，結合其國有資源的整合優勢，推動公司進一步聚焦智能檢測和智能製造發展戰略，改善上市公司的經營情況，提高上市公司的資產質量，增強上市公司的持續盈利能力，增強上市公司的市場競爭力和話語權。
此次交易若順利實施，正業實業取得的交易對價將主要用於歸還股權質押融資款項，緩解質押債務壓力，降低自身資金風險及負債率，解除正業實業股權質押風險。同時，紓解上市公司因控股股東股權質押比例較高帶來的融資壓力，提升上市公司風險防控能力，有利於上市公司持續健康發展。
