北新建材(000786.SZ)擬斥3.465億元收購四川蜀羊70%股權
格隆匯8月26日丨北新建材(000786.SZ)公佈，為推進防水材料業務的投資和佈局，公司於2019年8月26日與駱曉彬、高偉在北京市簽署了《關於四川蜀羊防水材料有限公司的股權轉讓協議》，約定公司以3.465億元的價格受讓駱曉彬、高偉合計持有的四川蜀羊防水材料有限公司(四川蜀羊)70%的股權。
四川蜀羊的經營範圍為防水卷材、防水塗料、防腐塗料、瀝青製品、隔音材料、吸音材料生產、銷售，建築防水工程施工(憑資質證在有效期內經營)，建築保温隔熱材料生產、施工(憑資質證在有效期內經營)，潤滑油銷售，對外貿易，普通貨運。
截至公告披露日，四川蜀羊直接或間接擁有的下屬子公司包括蜀羊防水科技有限公司、四川省蜀羊防水工程有限公司、陝西蜀羊防水工程有限公司、陝西蜀羊防水材料有限公司、江西蜀羊防水材料有限公司、上海蜀羊防水材料科技有限公司(以下統稱蜀羊集團)。
根據公司聘請的審計機構出具的審計報告，四川蜀羊截至2018年12月31日的資產總額為56,138.84萬元，負債總額為28,925.00萬元，淨資產為27,213.84萬元，2018年度的營業收入為611,41.74萬元，實現的淨利潤為6,911.24萬元；四川蜀羊截至2019年2月28日的資產總額為51,786.84萬元，負債總額為24,348.83萬元，淨資產為27,438.01萬元，2019年1-2月份的營業收入為6,839.98萬元，實現的淨利潤為972.63萬元。
公司在進一步做強做優做大石膏板主業的同時，積極探索與石膏板具有協同意義的綠色建材產業，公司以自有資金通過聯合重組進入防水材料行業，爭取為公司打造新的利潤增長點。
防水材料行業規模較大、市場集中度不高，其主要客户是房地產公司和工程項目，與公司的石膏板業務具有協同效應。防水材料是房地產公司直接確定採購的重要物資，項目建設開始就要採用，比石膏板產品具有前置性，也具有更高的客户粘性，對於後續石膏板業務可以提供協同支持。
