遠望谷(002161.SZ)子公司擬收購IVP公司49%股權
格隆匯8月25日丨遠望谷(002161.SZ)公佈，公司擬通過境外全資子公司Invengo Technology Pte. Ltd.(“新加坡子公司”)收購Invengo Ventures Pte. Ltd.(“IVP公司”或“標的公司”)的股東IOT Ventures Limited(“IOT公司”或“交易對手”)所持有的49%股權。此次股權轉讓的價格將根據北京國融興華資產評估有限責任公司(“國融興華”)出具的《資產評估報告》(國融興華評報字[2019]第050058號，“《資產評估報告》”)的估值結果作為依據。《資產評估報告》以2019年4月30日作為評估基準日，IVP公司100%股東權益評估值為人民幣5737.82萬元，49%股權價格為人民幣2811.53萬元，經與IOT公司溝通，此次遠望谷收購標的公司49%股權價款摺合為566.20萬新幣。股權轉讓完成後，新加坡子公司持有IVP公司的股權將從51%增至100%，IVP公司成為新加坡子公司的全資子公司。
同時，此次交易中約定新加坡子公司向IOT公司支付58.80萬新幣，並由新加坡子公司受讓IOT公司對IVP公司58.80萬新幣的債權權益，新加坡子公司對IVP公司的債權權益將由61.20萬新幣增至120.00萬新幣。此次股權轉讓及債權轉讓款項合計為625.00萬新幣。
Invengo Ventures Pte. Ltd.經營範圍：其他投資服務、商務管理諮詢服務。
FE Technologies Pty Ltd經營範圍：射頻識別，信息技術和計算機服務。
遠望谷圖書館業務現階段正處在向全球擴張的重要節點，公司將圍繞內生式和外延式發展雙通道推進，其中內生式發展需要依託FE公司實施公司國際圖書館業務戰略部署。通過收購IVP少數股東49%的股權，可以加強對FE公司的絕對控制，有利於公司整體運營效率與未來盈利能力的提升，實現公司資源的有效配置，調動核心團隊積極性，對公司國際圖書館市場開拓和業務發展有着很大的促進作用。
此次交易完成後，IVP公司成為公司的全資子公司，仍納入公司的合併報表範圍，其經營範圍等業務屬性未發生變化。此次交易不會導致公司合併報告範圍發生變化，不會對公司未來的財務狀況和經營業績構成重大影響
