思美傳媒(002712.SZ)：旅投集團將成為公司控股股東及四川省國資委將成為公司實控人
格隆匯8月25日丨思美傳媒(002712.SZ)公佈，2019年8月24日，公司收到控股股東、實際控制人朱明虯及昌吉州首創投資有限合夥企業(“首創投資”)的通知，朱明虯、首創投資與旅投集團簽署了《股份轉讓協議》、朱明虯與旅投集團簽署了《表決權委託協議》，同時朱明虯出具了《放棄部分表決權的承諾函》。
公司控股股東、實際控制人朱明虯及其一致行動人首創投資與旅投集團簽署《股份轉讓協議》，旅投集團以協議轉讓方式受讓朱明虯持有的思美傳媒約5591.87萬股股份(占上市公司總股本的9.62%)，受讓首創投資持有的思美傳媒約448.01萬股股份(占上市公司總股本的0.77%)，共計受讓思美傳媒約6039.88萬股股份(占上市公司總股本的10.39%)。朱明虯與旅投集團簽署了《表決權委託協議》，約定將其持有的約1.14億股股份(占上市公司總股本的19.60%)對應的表決權委託旅投集團行使。同時，朱明虯出具《放棄部分表決權的承諾函》，承諾不可撤銷地放棄其持有的剩餘思美傳媒約5385.23萬股股份對應的表決權(占上市公司總股本的9.27%)。
此次權益變動前，朱明虯持有上市公司約2.24億股股份，占上市公司總股本的38.48%；首創投資持有上市公司約1792.02萬股股份，占上市公司總股本的3.08%；旅投集團不持有上市公司股份。
此次權益變動完成後，旅投集團通過受讓股份將直接持有上市公司約6039.88萬股股份，占上市公司總股本的10.39%；通過《表決權委託協議》將擁有上市公司約1.14億股股份對應的表決權，占上市公司總股本的19.60%；合計擁有上市公司約1.74億股股份的表決權，占上市公司總股本的29.99%。
此次權益變動後，旅投集團將直接持有公司股份約6039.88萬股，佔公司總股本的10.39%，在公司擁有表決權的股份數量合計為約1.74億股，佔公司總股本的29.99%。旅投集團將成為公司控股股東，四川省國資委將成為公司實際控制人。
