*ST沈機(000410.SZ)管理人發佈戰略投資者招募公告 其中要求意向戰略投資者經審計上一年度財報資產總額不低於1000億元、淨利潤不低於50億元
格隆匯8月24日丨*ST沈機(000410.SZ)公佈，2019年8月23日，公司管理人在全國企業破產重整案件信息網發佈了《瀋陽機牀股份有限公司戰略投資者招募公告》。
2019年8月16日，瀋陽市中級人民法院(“法院”)裁定受理公司重整，並指定瀋陽機牀股份有限公司清算組擔任管理人(“管理人”)。
為公開、公平、公正引入戰略投資者，並接受各方監督，管理人面向全國進行公開招募。
招募條件如下：
1.意向戰略投資者應當是依照中華人民共和國法律設立的企業法人或非法人組織，並有效存續，具有較高的社會責任感和良好的商業信譽，同時未被人民法院列入失信被執行人名單；
2.意向戰略投資者應具有足夠的資金實力進行重整投資，經審計上一年度財務報表符合下列條件：
(1)資產總額不低於1000億元；
(2)淨利潤不低於50億元。
3.如意向戰略投資者擁有機牀行業十年以上的生產或管理經驗，或擁有機牀企業併購整合經驗，同等條件下予以優先考慮。
4.意向戰略投資者應以維護和發展瀋陽機牀產業結構完整為原則，並維持公司總部註冊地在瀋陽不變。
5.兩個或兩個以上的投資者可聯合參與投資，以一個報名人的身份參與招募，但聯合體中至少有一個投資者符合資格條件。
意向戰略投資者應在本公告發布之日起至2019年8月30日前(含當日)向管理人提交報名材料。
1993年，瀋陽第一機牀廠、中捷友誼廠和遼寧精密儀器廠合併成立瀋陽機牀。1996年，瀋陽機牀在深交所主板上市(股票代碼000410)。控股股東為瀋陽機牀(集團)有限責任公司，實際控制人為瀋陽市人民政府國有資產監督管理委員會。
瀋陽機牀是中國機牀的搖籃，新中國第一台車牀、鑽牀、鏜牀、數控車牀都誕生於此。一直以來，瀋陽機牀都是行業的龍頭，始終專注於機牀的技術研發、生產和銷售，擁有一支涵蓋機牀設計、機牀性能檢測、機牀切削工藝研究、數控系統應用等多技術領域的複合人才團隊，在國內機牀行業處於領先水平。2014年以來，公司走上了自主創新獨立開發的道路，開發了i5系列智能機牀，創立了i5智能製造與服務新模式，引領了世界智能製造的潮流。
重整瀋陽機牀對於振興東北老工業基地，提升我國基礎工業和戰略性產業的裝備水平具有重要意義。本次招募戰略投資者旨在全面完成瀋陽機牀重整：解決內部結構性問題，調整債務結構、資本結構、產品結構和人員結構，實現公司轉型升級；完善經營管理，推進市場化體制機制改革，構建現代化的企業制度；最終打造股權結構優化、治理結構完善、資產質量優良、具備可持續盈利能力的上市公司，實現回報股東、貢獻社會、造福員工的企業宗旨。
