招商蛇口(001979.SZ)：中航善達的股份轉讓協議已生效
格隆匯8月24日丨招商蛇口(001979.SZ)公佈，2019年8月23日，中航國際控股股東特別大會審議通過《中航國際控股股份有限公司與招商局蛇口工業區控股股份有限公司關於中航善達股份有限公司之股份轉讓協議》及其項下擬進行的交易，至此，《股份轉讓協議》約定的全部生效條件已滿足，《股份轉讓協議》已經生效，在公司支付完畢中航善達22.35%股份剩餘轉讓款後，公司將與中航國際控股共同到中國登記結算公司深圳分公司辦理中航善達22.35%股份的過户手續。
2019年8月23日，公司、深圳地產、招商物業與中航善達簽署了《中航善達股份有限公司與招商局蛇口工業區控股股份有限公司、深圳招商房地產有限公司之發行股份購買資產協議之補充協議》，公司、深圳地產與中航善達簽署了《中航善達股份有限公司與招商局蛇口工業區控股股份有限公司、深圳招商房地產有限公司關於發行股份購買資產的業績承諾及補償協議》，對此次以招商物業100%股權認購中航善達發行股份相關事宜進行進一步約定。《發行股份購買資產協議之補充協議》與《補償協議》已經公司總經理辦公會、深圳地產股東會、中航善達第八屆董事會第四十七次會議審議通過。
根據中通誠資產評估有限公司(“中通誠”)出具的中通評報字[2019]12139號《中航善達股份有限公司非公開發行股份購買招商局蛇口工業區控股股份有限公司直接或間接持有的招商局物業管理有限公司100%股權資產評估報告》，截至評估基準日2019年3月31日，招商物業100%股權的評估值約29.90億元。根據《發行股份購買資產協議之補充協議》，參考經國資備案的評估結果，經各方協商一致，招商物業100%股權最終交易價格約29.90億元。在上述22.35%的股權完成過户且以招商物業100%股權認購中航善達發行股份事宜完成後，公司將直接持有中航善達50313.4萬股股份，並通過深圳地產持有中航善達3933.8464萬股股份，合計持有中航善達54247.2464萬股股份(佔中航善達屆時已發行股份總數的51.16%)，公司將成為中航善達的控股股東。
根據《補償協議》，公司、深圳地產承諾，如以招商物業100%股權認購中航善達發行股份於2019年度實施完畢，則招商物業2019年度、2020年度及2021年度淨利潤分別為不低於1.59億元、1.89億元、2.15億元；如以招商物業100%股權認購中航善達發行股份於2020年度實施完畢，則招商物業在業績承諾期2020年度、2021年度、2022年度淨利潤分別為不低於1.89億元、2.15億元、2.35億元。業績承諾期各期的實際淨利潤以招商物業扣除非經常性損益後歸屬於母公司所有者的淨利潤為準。若招商物業在業績承諾期內任一會計年度末的累積實際淨利潤數未達到累積承諾淨利潤數的，公司、深圳地產將進行相應股份或現金補償，若股份不足補償的，就股份不足以補償的部分，以現金進行補償；此外，在業績承諾期最後一期屆滿時，對招商物業100%股權進行減值測試，若存在減值的，公司、深圳地產將進行相應股份或現金補償。減值補償與業績承諾補償合計不超過公司於此次交易中獲得的總對價。
