埃斯頓(002747.SZ)擬2.834億元繼續增資鼎派機電並用於收購全球焊接機器人領軍企業Cloos
格隆匯8月25日丨埃斯頓(002747.SZ)公佈， 公司基於"雙核雙輪、內生外延"發展戰略，積極尋求與公司兩大核心業務具有協同效應，同時擁有國際先進技術、有業績支撐的優秀公司進行收購兼併，為公司長遠發展提供有力支撐。為此，公司擬與控股股東派雷斯特共同對南京鼎派機電繼續以現金方式增加投資 5.51億元，其中埃斯頓自動化擬增加投資 2.834億元；此次增資完成後，鼎派機電註冊資本由1.49億元增加至7億元，其中埃斯頓自動化持有鼎派機電49%的股權，派雷斯特持有鼎派機電 51%的股權。
此次增資後的資金將用於實施收購全球焊接機器人領軍企業Cloos。德國 SPV為埃斯頓自動化的參股公司鼎派機電的子公司南京鼎之炬)公司在德國註冊的子公司，德國 SPV 擬與Cloos Holding簽署收購 Cloos 的股權收購協議，德國 SPV 擬以現金方式出資1.9607 億歐元收購 Cloos的 100%股權並承擔鎖箱機制下所需支付的利息以及相關中介費用。
標的公司 Cloos 總部位於德國，成立於 1919 年，是全球久負盛名的機器人焊接領域頂尖企業，Cloos 從 1981 年起自主研發焊接機器人，是世界上最早擁有完全自主焊接機器人技術和產品的公司之一。此次投資為與公司發展戰略高度協同的併購項目，是繼公司在英國 Trio，德國 M.A.i.之後的又一次併購歐洲企業，此次收購將為公司佔領機器人產業細分行業高點，獲得國際一流焊接機器人頂尖技術，鞏固機器人國產領先品牌市場地位奠定堅實基礎，同時也是公司機器人產業國際化戰略版圖的重要組成部分。因此次 Cloos 股權轉讓為競標方式，派雷斯特作為上市公司控股股東，參與此次收購是為了確保本次海外投資交易確定性的必要性安排，目的是配合上市公司國際化發展戰略，並提供資金支持。
此次增資並進行對外投資暨關聯交易事項是基於公司雙輪雙核發展戰略，通過外延式發展，更大程度的發揮公司自主自動化核心部件優勢和工業機器人的技術積累，與國際先進技術、有業績支撐的優秀公司通過股權收購的方式進行深度融合，加快實現公司戰略目標。此次增資後的資金將用於收購全球焊接機器人領軍企業 Cloos，屬於公司發展戰略高度協同的併購項目，是繼公司在英國 Trio，德國 M.A.i.後的又一次併購歐洲企業，本次投資將為公司佔領機器人產業細分行業高點，獲得一流焊接機器人頂尖技術，為鞏固機器人國產領先品牌市場地位奠定堅實基礎，同時也是公司機器人產業國際化戰略的重要組成部分。
