六國化工(600470.SH)：增資如最終完成 銅化集團的控股股東將變為安徽創谷
格隆匯8月23日丨六國化工(600470.SH)公佈，2019年8月6日，公司披露了《關於控股股東籌劃重大事項的進展公告》，截至延長後的掛牌期滿日(2019年7月31日)，銅化集團此次增資徵集到一家符合資格條件的意向投資方，即安徽創谷新材料有限公司(“安徽創谷”)。
增資如最終完成，銅化集團分別由銅陵市華盛化工投資有限公司、安徽創谷新材料有限公司、安徽鶴柏年投資有限公司、安徽省投資集團控股有限公司持股37.26%、32.34%、23.07%、7.33%。
此次增資如最終完成，銅化集團的控股股東將變更為安徽創谷。
安徽創谷已與銅化集團股東鶴柏年公司於2019年8月15日簽訂了《一致行動協議》，在安徽創谷成為銅化集團股東之日起，雙方行使所持銅化集團全部股權上所對應的表決權、提名權和提案權等股東權利時保持一致意見，採取一致行動；雙方在行使股東權利時先進行溝通協商，形成一致意見，並按照一致意見行使股東權利；如經協商無法形成一致意見，則按照各方持股比例多數決定的原則做出一致行動的意見。一致行動有效期自協議生效之日起5年，期限屆滿前雙方應就期限是否延長進行協商並另行簽署協議約定。鑑於銅化集團本次增資如最終完成，安徽創谷將持有銅化集團32.34%股權比例，高於鶴柏年公司持有銅化集團23.07%股權比例，根據雙方約定的一致行動表決方式，安徽創谷可以控制雙方一致行動的意見。據此，在安徽創谷成為銅化集團股東後，安徽創谷控制銅化集團的股權比例為55.41%，銅化集團的控股股東將變更為安徽創谷。實際控制人將由銅陵市國資委變更為無實際控制人。
關於銅化集團董事會成員構成事項，安徽創谷與銅化集團及其原股東簽訂的增資協議中未對本次增資完成後銅化集團董事會成員構成進行約定，目前尚不能確定本次增資完成後銅化集團董事會成員構成。如銅化集團本次增資最終完成，鑑於安徽創谷在本次增資完成以及其與鶴柏年公司簽訂的《一致行動協議》生效後，其控制的銅化集團股權比例超過50%，初步判斷應不影響銅化集團控股股東發生變更的認定。
