億利潔能(600277.SH)擬5.96億元轉讓宏斌煤礦所有資產和業務 預估損失2.74億元
格隆匯8月23日丨億利潔能(600277.SH)公佈，公司擬將分公司億利潔能股份有限公司宏斌煤礦(“宏斌煤礦”)所有資產和業務轉讓給內蒙古廣匯煤炭有限責任公司(“廣匯煤炭”)，轉讓價格為5.96億元，所轉讓資產涉及採礦權。
現為繼續調整公司產業結構，盤活存量資產，根據公司的戰略部署安排，公司擬將標的資產轉讓給廣匯煤炭。根據具有證券期貨業務資格的開元資產評估有限公司出具的《億利潔能股份有限公司擬實施資產出售涉及的億利潔能股份有限公司宏斌煤礦資產組市場價值資產評估報告》(開元評報字[2019]354)，截止2019年6月30日，擬轉讓標的資產賬面值約8.70億元，評估價值約6.53億元。此次轉讓交易價格為5.96億元，系根據評估結果，經與廣匯煤炭協商確定。
經公司初步測算，此次轉讓標的資產處置損失約2.74億元，上述損益以此次交易全部完成後的實際結果為準。半年報中將預估予以體現。
從宏觀經濟看，近年來，國家加速煤炭行業供給側改革，化解煤炭過剩產能，加快產業調整轉型升級，對小型煤礦，實施關停、限產、限貸等措施，推動煤炭上下游產業融合發展，不斷提高產業集中度和優化生產力佈局,進一步提高煤炭產業集中度，打造一批現代化煤炭企業集團。
從發展戰略看，目前,公司主營聚焦發展循環經濟、清潔能源、生態環保的三級增長戰略，轉讓煤炭資產，有利於優化公司業務結構，推進公司戰略轉型，使得主營業務更加清晰，也有利於公司將資金、管理、技術、資源更有效地集中至主營業務。宏斌煤礦自收購以來，受到國內外經濟下行壓力，國家供給側改革，礦產品煉製鋼材產能過剩、煤炭市場發生重大變化，公司因戰略發展需要，一直暫緩對其進行開採，尚未運營。在國家環保嚴監管，煤炭限產限排且安全環保監管力度日趨加強的環境下，開採煤礦投入的安全環保類支出都較預算增加很多，後續開發也需投入較大的人力、物力和資金。
綜上，基於上述宏觀經濟調整、煤炭行業遇到發展瓶頸和公司發展戰略的需要等多重因素，為更有效地集中至清潔能源和生態環保產業，公司根據自身經營情況和公司戰略部署安排，逐步退出煤炭採掘業，此次擬出售宏斌煤礦。
此次交易與公司近期擬進行的資產重組戰略相吻合，是公司全面向清潔能源、生態環保產業轉型的重要措施，將有利於公司優化業務結構，使得主營業務更加清晰，也有利於公司將資金、管理、技術資源更有效地集中至清潔能源和生態環保產業。
