世紀天鴻(300654.SZ)子公司擬斥2000萬元參與投資教育產業基金
格隆匯8月23日丨世紀天鴻(300654.SZ)公佈，公司於2019年8月23日召開了第二屆董事會第十二次會議，審議通過了《關於全資子公司擬參與投資教育產業基金的議案》。公司全資子公司山東鴻翼教育科技有限公司(“鴻翼教育”)擬使用自有資金人民幣2000萬元作為有限合夥人，參與設立面向教育領域的產業投資基金，基金首期規模為人民幣5000萬元(如後續增資，基金規模不超過人民幣2億元)，主要投資於少年兒童教育、素質教育、教育出版發行、數字教育、教育科技等領域非上市企業股權項目。
此次教育產業基金的主要合作方為北京啟辰投資管理有限公司(“啟辰投資”)、北京完美拼圖投資管理有限公司(“拼圖資本”)。
擬投資設立基金淄博連界拼圖教育投資合夥企業(有限合夥)(以企業登記機關最終核准的名稱為準)經營範圍：股權投資、投資管理、投資諮詢(以企業登記機關最終核准的經營範圍為準)；投資領域：主要投資於少年兒童教育、素質教育、教育出版發行、數字教育、教育科技等領域非上市企業股權項目；鴻翼教育作為有限合夥人，認繳出資人民幣2000萬元，佔40%；普通合夥人啟辰投資及財務顧問拼圖資本負責完成部分有限合夥人的募集工作(合夥人及各方實際出資比例，經參與各方協商一致同意後，最終在基金合同條款中確認)。
鴻翼教育作為公司以教育出版為核心，面向教育科技、教育服務、教育學科化三個領域拓展的綜合性創業孵化平台，依託上市公司產業資源優勢，本着“孵化文化教育發展的新生力量，構築行業開放共享的創業平台”的理念，採取“投資+資源支持+孵化”的孵化模式，為創業者、創新項目搭建全媒體創業、創新服務平台；提供從產品創意、出版服務、產品設計、產品研發、教育考試研究、出版發行、數字出版等全媒體、全流程服務。
此次鴻翼教育與專業投資機構合作投資設立教育產業基金，能夠藉助專業投資機構的產業融資及投資管理優勢，加強在教育投資領域的全面合作，進一步推動公司戰略目標的實現。
